ANORDINANCE GRANTINGTO DAVIDS.ANDVIRGINIAPENFIELD THE RIGHT ANDFRANCHISETOUSEANDOCCUPYSTREETSANDOTHERPUBLICPLACESANDWAYSOFTHECITYOFMOSESLAKE,WASHINGTON,TO CONSTRUCT,MAINTAIN,REPAIR,RENEWANDOPERATEAWATERSYSTEMWITHINANDTHROUGHCERTAINPORTIONSOFTHECITYOFMOSESLAKE,WASHINGTON
THECITYCOUNCILOF THECITYOF MOSESLAKE,WASHINGTONDOORDAINASFOLLOWS:
Section 1.That David S.and Virginia Penfieldare hereby granted the right,privilege,and franchise toconstruct,operate,and maintainîn,through,and alongthe right-of-wayof that portion of the NWx ofiSection23,Township 19 North,Range 23,EWMdescribed as follows:
A strip of land 10'in width (5'each side of the centerline),the centerlinebeing morefullydescribedasfollows:
Commencing at the intersection of the southeasterly right-of-wayof Seventh AvenueextendedandthecenterlineofChestnutStreet;thence south 53°41'20"West along thesoutheasterlyright-of-way of SeventhAvenuea distance of250'to the pointof beginning;thence north 36*18'40"west perpendicularto the centerlineofSeventhAvenue a distanceof50'to the northwesterlyright-of-wayof SeventhAvenue.
Section 2.The rights,privilegesand franchise hereby granted to and conferred upon the grantee shall,unless thisfranchise be sooner terminated,extend for the fullterm oftwenty-five(25)years from the dateoftheacceptancedateofthepassingofthisordinance,filed with the CityClerk,its written acceptance ofalltermsandconditionsofthisordinance,and if such acceptance is not filed as herein provided,thisordinanceshallbenullandvoldinallrespectsasifneverpassed.
AIIrights and privilegesgranted,and duties imposed by this ordinance upon the grantee shall extend toandbebindinguponDavidS.and VirginiaPenfield,legal representatives or assigns,but thisprivilege andtherightsgrantedunderthisordinancecannotbetransferredbythegrantee,eitherby assignment,sale,merger,consolidation,operation of law or otherwise,without first obtainingthe writtenconsent of the citythereto,to be expressed by an ordinance.
Section3.Thisordinance andthe written acceptance thereofby the grantee shallconstitutethe contractbetweentheCityofMosesLakeandthegranteeandthesameshallbebindinguponandinuretothebenefitofthegranteeundertheconditionshereinImposed.
I Section 4.Allof the grantee's water distribution system and facilities shall be maintained in good orderandconditionandinaccordancewithstandardengineeringpractice,and with all lawful governmentalregulations.The city shall have the authorityat all times in fultherance of the safety,convenience,andwelfareofthepublictocontrolbyappropriateregulations,the location,elevation,and manner ofconstruc-tion and maintenance of the grantee's water system propertyand facilitîeson the citystreets and publicplaces,subject to the provisionsof any state laws applicable thereto,and such regulations shall be inconformancewiththestandardengineeringpractice,and the reasonableness fromthe standpoint of thegrantee's operations and facilities.The grantee agrees to promptly conformwithallsuch regulations.
Section 5.AIIpipelinesofthe grantee shall be laid insuch a manner as not to interferewithany presentpublicorprivateirrigationordrainditches,drains,sewers,water mains,conduits,sidewalks,paving orotherpublicimprovements,and all repairs thereto or replacements required shall be accomplished asprovidedinSection6.The Cityof Moses Lakereserves the right to construct,change,or repair anypublicimprovements,and tochange the grades ofany streets,alleys,orsidewalks;writtennotice ofsuch intentiontochangeanystreets,alleys,or sidewalkswhere any part or parts ofthe distribution system ofthe granteemaybeinvolved,shallbe first given the grantee,and ifany changes or repairs are required,the granteeshall,at its ownexpense,Iower,change,or alterthe pipelinesor appurtenances involved accordingly,andinaccordancewiththestandardengineeringpracticeandanyregulationspertainingthereto;and thegranteeshallnotinterferewithotherpublicutilitiesorcityoperatedutilitiestherein.If practicable,no waterlineshallbelaidcloserthantwofeet(2')to any utility.
Section 6.No extensions of water mains shall be made and no construction or reconstruction shall becommencedinconnectionwiththelayingorreplacingofwatermainsunlessplanshavefirstbeensubmittedandapprovedbytheofficialsoftheCityofMosesLake.
Section 7.Allearth,materials,sidewalks,paving,crossings,or improvements ofany kind,disturbed,injured,I or removed by the grantee shallbe fullyrepaired,or replaced promptlyby the grantee,and the grantee shallprotectandsavethecityharmlessforanylossordamagesthereon.The grantee shall further be requiredtoconformtoanyordinanceoftheCityofMosesLakewithreferencetocuttinganystreetsorsidewalksandthereplacementthereof.
Section 8.The grantee shallat alltimeskeep maps and records showing the locations and sizes of allwatermainslaidbyitorownedbyitinstreetsandotherpublicplaces,and such maps and records shallbefurnishedtotheofficialsoftheCityofMosesLakewithoutcost.
Section 9.In case of failure on the part of the grantee to comply with any of the provisionsof thisordinance,or ifthe grantee,theirsuccessors orassigns,do or cause to be done,any act or thing prohibitedbyorinviolationofthetermsofthisordinance,the grantee shall forfeit all rights and privilegesgranted bytheordinance,and all rights thereunder shallcease;provided that such forfeiture shall not occur nor takeeffectuntiltheCityofMosesLakeshallcarryoutthefollowingproceedings:
Before the citymay proceed to forfeitthis franchise,it shallserve,by registered mail,a writtennotice uponthegrantee,theirsuccessors orassigns,settingforthclearlyand indetailthe failure ofviolationcomplained
of and the grantee shall have ninety (90)days thereafter in which to comply with the conditionsof this
franchise.
Ifsuch failure or violation continuesbeyond said ninety(90)days,thenthe CityCouncilofthe Cityof Moses
Lake,at its sole discretion,shallhave the rightto forthwith determine that this franchise is forfeited.Said
determination shallbe made,however,onlyupon proofestablishedtothesatisfactionof the CityCouncil,
and such as would be considered competent evidence in any court ofrecords,showinga breach of this
franchise,and showlng that the rights ofthe Cityof MosesLake or its inhabitants have been materially and
substantially affectedthereby.
Provided,however,that such fallure or defaultorviolation,shallnotconstitutegrounds forforfeitingofthis
franchise Ifdue materially,substantially,and reasonably to acts of God,fire,flood,storm,or other element
or casualty,theft,war,disaster,strike,lockout,boycott,prevailingwarorwar preparationinducedconditions
or bona fide legal proceedings beyond the controlofthe grantee.
Section 10.In the event that any sentence,clause,paragraph,or section ofthis ordinance be held void
by any court,itshallnot affectthe balance hereof,and thisordinance shallbecome effectiveupon passageandapprovalbytheCityofMosesLakeanditsacceptanceinwritingbyDavidS.and VirginiaPenfield
which acceptance must be filed within thirty(30)days after the passage and approvalby the CityCouncil
of the Cityof Moses Lake,Washington.
Section 11.The grantee,by theiruse of this right and prMiege,covenants and agrees withthe cityto at
all times protect and save harmless the city from all claims,accidents,suits,liability,loss,expense,or
damage of any kind and descriptionwhich mayaccrue to or be suffered by any person or persons,firm,
corporation,orany building,or any damage arisingout of the ownership,excavation,installation,construc-
tion,repair or operationofsaid water systemor any act done by the grantee under this right and privilege.
Section 12.Thisordinance shalltakeeffectand be Inforcefive (5)days afterits passage and publication
as providedby law.
