AN ORDINANCEOF THE CITYOF MOSESLAKEGRANTINGAFRANCHISETO MOSESLAKECHARTERANDLIMOUSINESERVICED/B/A MOSESLAKECITYBUSUNES,FORTHEESTABLISHMENT,MAINTENANCE,ANDOPERATIONOFAMOTORBUSTRANSPOR-TATIONSYSTEMINTHECITYOF MOSESLAKE,FORTHETRANSPORTATIONFORHIREOFPASSENGERSASACOMMONCARRIER,ANDFIXINGTHETERMSANDCONDITIONSOFSUCHGRANT
THE CITYCOUNCIL OF THECITYOF MOSES LAKE,WASHINGTONDOORDAINAS FOLLOWS:
I Section 1.Definition ofTerms:Wheneverused inthis grant offranchise,the followingterms shallhavethefollowingmeaning:
A.The term "company"means Moses Lake Charterand Limousine Companyd/b/a Moses Lake CityBusLines.
B.The term "city"means the Cityof Moses Lake,and whenever the term "city"is used in a territorialsense,it shallbe held to referto the territoryincludedwithin the corporate limitsofthe city,as thesamemayfromtimetotimeexist,and to such additional territoryas may,for the purpose ofthisordinance,come under the jurisdictionof the cay.
C.The term "CityCouncil"means the present or future goveming body ofthe city.
D.The term "street"shall mean the streets,avenues,alleys,bridges,and other public waysinthe city,however they may be designated.
E.The term"motorbus"meansanytracklessvehicle propelledbypower generated bygasoline,oil,electricity,or otherwise,but does not include any vehicle using overhead wîre.
Section2.Grant ofFranchise:The authority,right,privilege,and franchiseis hereby granted to MosesLakeCharterandLimousineServicetoestablish,maintain,and operate a motorbusserviceforthe transportationforhireofpassengersbyvehiclespropelledbypowergeneratedbygasoline,oil,electricity,or otherwise,over and upon the streets ofthe city;all in accordance with the terms,conditions,and provisionsof cityordinancesnowineffectorsubsequentlyadopted.
Section 3.Routes:Operationunder this franchise shallbe upon andalong certain designated routes,whichIshallbeestablished,changed,extended,shortened,or abandoned by the companyor when such conditionsrequirechangesberequestedbytheCityCouncil.
Section 4.Equipment:The character and type of transportation equipment shall consist of motorbusesgeneratedbygasoline,oil,electricity,or otherwise.
The number of motorbuses shall be ofsuch size and seating capacityas to adequatelyfillthe needs oftheroute.
The equipmentshallbe properly maintainedand be safe,dependable,and in sanitarycondition,and shallinallrespectsmeettherequirementsimposedbytheStateofWashington,
Section 5.Loading Areas Designated:Certainareas such as the curb on the right hand side ofthe streetbeyondvariousintersectionsmaybedesignatedbythecity,as itdeems necessary from time to time,forthepurposeofloadinganddischargingpassengers.AIIexpenses incurred bythe cityin markingsaid areasshallberefundedtothecitybythecompany.
Section 6.g:Fares for servicesare to be definedby the company and accepted by the CityCouncilbutinnocaseimposedonthecompanybythecitytotheextentthatthecompanycannotmakeafairprofit.
Section 7.Indemnification:The company shall at all times hold the city harmless against any and alldamages,claims,and demands for injuries to persons or propertywhich may be made against the city inanymannergrowingoutoftheownership,maintenance,or operation of the motorbuses and any and allotherequipmentofthecompany,provided the city's negligence is not the proximate cause of the injury,
i Section 8.Insurance:The company shallcomplywith any and allliabilityinsurance requirements imposeduponinter-city and inter-county carriers by the State of Washington.
Section 9.Franchise Non-Exclusive:This franchise and grant shall never be construed as creating in orgrantingtothecompanyanyexclusivegrant,right,or franchise,but it is expresslyunderstood and agreedtobeanon-exclusive franchise;however,additionalfranchise grants mustbe granted exclusivelyto provideneedsthatpresentproviderscannotmeetaftergiventheopportunitytodoso,
Section 10.Franchise Fee:Since the franchise is non-exclusive,the company should not experiencediscriminationastospecialfeesotherthanthosefeesrequiredbyothercommercialbusinessesinthecityandthecitywillestablishchargescomparabletoothercommercialbusinessesinthecity.
Section 11.Transfer of Franchise:No sale,lease,assignment,or other transferofthis franchise shallbeeffectiveunlessanduntilthesameisapprovedbytheCityCounciloftheCityofNIosesLake.Anyproposedbuyer,lessee,assignee,ortransfereeofthis franchise shall,ifapproved bythe CityCouncil,agree
to performallthe conditionsrequired of the company hereunder.In additionthereto,any buyer,lessee,
assignee,or transferee,approved by the CityCouncil,shallbe requiredto fileproofofabilityto dischargeallobligationsandliabilitiesimposeduponthecompanybythisfranchise.
Section12.Forfeiture:The CityCouncilmay,at any time,declare a forfeitureof this grant for a violation
or a defaultby the company of any of the terms herein;provided,however,that none ofthe terms ofthis
grant shallbe deemed to be a violation such as to permitforfeiture unlessthe company shall be firstgivenwrittennoticeofsuchviolationordefaultwhichnoticeshallstatewithparticularitywhereinsuchviolation
or default consists,and of the intent to declare a forfeiture.Thereafter,ifsuch violation or defaultshallnotbecorrectedandcontinueforaperiodofmorethan60daysafterdeliveryormailingtothecompanyofsuchwrittennotice,all of the rights and privilegeshad by the company under the provisions of thisordinancemaybeforthwithdeclaredforfeitedandrevoked.
Section 13.Invalidity -Severability:Each section of this grant and each part of each section hereof isherebydeclaredtobeanindependentsectionorapartofasection,and the holding of any section or partthereoftobeunconstitutional,void,illegal,ineffective,or contraryto the provisions ofthe charter ofthe city
or the amendmentsthereto,orthe laws or constitutionsofthe StateofWashington forany reason,shallnotaffectanyothersectionorpartofthisordinance.
Section14.CharterandLaws Applicable:This ordinance is enacted and the grant herein providedis madesubjecttoalloftheprovisionsofthecharterofthecity,the ordinances ofthe city,and laws of the State ofWashington,andthe company shallbe bound byeach andeveryprovisionofsuch charter,ordinances,andlawsinsofarasthesamemaybeapplicableherein,sa though such provisionwas expresslywritten andmadeapartofthisfranchisegrant.
Section 15.Acceptance of Franchise:This grant is made upon the express conditionthat the companywithin30daysaftertheeffectivedateofthisgrant,shallfilewith the clerk ofthe citya written certification
ofa liabilityinsurance.This ordinanceofa franchisegrant shallconstitutea contract between the cityandthecompanyforalltheuses,services,and purposes hereinset forth.Thecompany by its acceptance ofthisfranchise,bindsitself to providethe necessary motorbusesand to establish,operate and maintain the
transportation services contemplated in this ordinance beginning not later than 60 days from the date of
acceptance of this ordinance by the company,unless such acceptance is extended by the CityCouncil,and continuingthereafter without substantial interruptionexcept for causes beyond the control of the
company,untilthe expirationof the term of the grant herein.
Section 16.Termination by the Company:This franchiseand contract maybe terminated bythe companyupongMng60dayswrittennoticeofitsdesiretoterminatesaidfranchise.The citymay however shortenthis60daytimeforgoodcauseshownandthefranchiseshallbeforthwithterminatedandthecompanyshallnolongerbeliabletocomplywiththetermsandconditionsofthisfranchise.
Section 17.EffectiveDate:Thisordinance shalltake effectand be inforcefive(5)days after its passageandpublicationasprovidedbylaw.
