ANORDINANCE GRANTING TO CASCADE VALLEYWATER DISTRICT #8 THE RIGHT
AND FRANCHISE TO USE AND OCCUPY DESIGNATEDSTREETS,ALLEYS,ANDOTHERPUBLICPLACESANDWAYSOFTHECITYOFMOSESLAKE,WASHINGTON,
TO CONSTRUCT,MAINTAIN,REPAIR,RENEW AND OPERATE AWATERDISTRIBU-
TION SYSTEM WITHINAND THROUGH CERTAINPORTIONS OF THE CITY OF
MOSES LAKE,WASHINGTON
THE CITY COUNCIL OF THE CITY OF MOSES LAKE,WASHINGTON DOORDAIN AS FOLLOWS:
Section 1.Location of Franchise:That Cascade Valley Water District #8,its successors and assigns,be
and it is hereby granted the right,privilege and franchise toconstruct,operate,and maintain in,through,and along that portionof ValleyRoad located west ofAirway Drive and located in the City limits to thelimitationshereinsetforthandprovided.Provided,further,thatthisgrant is a non-exclusive grant.
Section 2.T_elm_:The rights,privileges and franchise herebygranted to and conferred uponthegranteeshall,unless this franchise be sooner terminated,extend forthefull termof twenty-five(25)years from
thedate of theacceptance hereof by the grantee and the grantee shall,within thirty(30)days after thedateofthepassingofthisordinance,filewith theFinanceDirector,its writtenacceptance ofalltermsandconditionsofthisordinance,and if such acceptance is not filed as herein provided,thisordinance shallbenullandvoidinallrespectsasifneverpassed.
Section 3.Assignment:AIIrights and privilegesgranted,and duties imposed by thisordinance upon thegranteeshallextendtoandbebindinguponitssuccessors,legal representatives,or assigns,but thisprivilegeandtherightsgrantedunderthisordinancecannotbetransferredbythegrantee,either byassignments,sale,merger,consolidation,operationoflaw or otherwisewithout first obtaining thewrittenconsentoftheCitythereto,to be expressed by an ordinance.
Section4.Contractual Relationships:This ordinance andwritten acceptance thereofby thegrantee shallconstitutethecontractbetweentheCityofMosesLakeandthegranteeandthesameshallbebindinguponandinuretothebenefitofthegrantee,its successors and assigns,under the conditions hereinimposed.
Section5.Payments totheCity:The Companyshall,during each year ofoperation underthisfranchise,O pay to the City the utility tax in accordance with Moses Lake Municipal Code Chapter 3.30.050 nowexistingorhereafteramended.
Section 6.Construction and Maintenance:AIIofthe grantees water distribution system and facilities shallbemaintainedingoodorderandconditionandinaccordancewithstandardengineeringpracticeandwithalllawfulgovernmentalregulations.The Cityshall have theauthorityat alltimesin furtherance of safety,convenience,and welfareof the publicto control by appropriate regulatîons the location,elevation,andmannerofconstructionandmaintenanceofthegrantee's water system propertyand facilities on the CitystreetsandpublicplacessubjecttotheprovisionsofanystatelawsapplicabletheretoandsuchregulationsshallbeinconformancewiththestandardremedybytheCityandshallnotpreventtheCityfromthereafterdeclaringaforfeitureforanyreasonhereinstated,nor shall the delay of the City indeclaringaforfeiturestopitfromthereafterdoingso.
Section 7.Liability and Indemnification:The grantee,by its use of thisright and privilege,covenants andagreeswiththeCitytoatalltimesprotectandsaveharmlesstheCityfromallclaims,accidents,suits,liability,loss,expense of damage of every kind and description whichmay be sufferedby any person orpersons,firm,corporation or to any building,or any damage arising out of the ownership,excavation,installation,construction,repair or operation of saidwater system or any act done by the grantee underthisrightandprivilege.
The Grantee willmaintain in full force and effect,with an insurance carrier or carriers authorized totransactbusinessintheStateofWashington,the following insurance:
A.Grantee agrees to provide certificatesof insurance in the amount of $1,000,000.
O B.It is agreed in thecertificationof insurance thata thirty(30)day priorwritten notice willbe giventotheCityofMosesLakeintheeventofcancellationoramaterialchangeincoverage.
Section 8.Cost of Publication:Cost of publications and advertisements for public hearings shall bereimbursedtotheCitybyCascadeValleyWaterDistrict#8.
Section 9.Severability:Intheevent thatany sentence,clause,paragraph,or section of this ordinancebeheldvoidbyanycourt,it shall notaffect thebalance thereof.
Section 10.Ordinances Repealed:All ordinances or parts thereof in conflictwith the provisionsof thisordinanceareherebyrepealed.
