1854_00001ORDINANCE NO.1854 AN ORDINANCE GRANTINGTO WENATCHEE VALLEY CLINIC THE RIGHTAND FRANCHISE TO USE AND OCCUPY DESIGNATED STREETS ANDOTHER PUBLICPLACESANDWAYSOFTHECITYOFMOSESLAKE,WASHINGTON,TOCONSTRUCT, MAINTAIN,REPAIR,RENEWAND OPERATE ACOMMUNICATIONLINEINCONDUIT - WITHINANDTHROUGHCERTAINPORTIONSOF THE CITYOF MOSESLAKE,WASH- INGTON THE CITYCOUNCIL OF THE CITYOF MOSES LAKE,WASHINGTON DOORDAIN AS FOLLOWS: Section 1.That theWenatchee Valley Clinicis hereby grantedtheright,privilege and franchise toconstruct,operate,and maintain in,through,and along theright-of-way ofthatportion ofSection 23,Township 19North, Range 28,EWM described as follows: A stripofland 20'inwidth(10'each sideofthecenterline),thecenterlinebeingmorefullydescribed as follows: Commencingattheintersection ofHillAvenue andJuniperDrive;thenceSouth82°02'04"West alongthecenterlineofHillAvenue,30.00 feet;thenceNorth08°58'04"West alongthewest right-of-waylineofJuniperDrive,275.00 feetto theTrue Pointof Beginning;thence North 81°01'56"East perpendicu- lar tothe centerlineofJuniper Drive,60.00 feet tothe point of terminus. Section 2.The rights,privileges and franchise hereby grantedtoandconferreduponthe grantee shall,unless this franchise be sooner terminated,extend for thefulltermof twenty-five(25)years from the date oftheacceptancedateofthepassingofthisordinance,file with theFinance Director,its writtenacceptance of all terms and conditionsofthisordinance,and ifsuch acceptance is not filedas hereinprovided,thisordinance shall be nulland voidin allrespects as ifnever passed. Section 3.AIIrights and privilegesgranted,and duties imposed by thisordinance upon thegrantee shall extend toand be binding upon its successors,legal representatives,or assigns,butthisprivilegeand therightsgrantedunderthisordinancecannotbetransferredbythegrantee,either byassignments,sale,merger,consolidation,operationof law or otherwise without first obtainingthewritten consent ofthe Citythereto,tobeexpressedbyanordinance. O Section 4.This ordinanceand written acceptance thereofbythegranteeshallconstitute thecontractbetween theCity of Moses Lake and thegrantee and thesame shall be binding uponand inure tothebenefit ofthegrantee,its successors and assigns,under the conditionsherein imposed. Section 5.AIIofthegrantee's communicationlineand conduitshallbe maintainedingoodorderand conditionandinaccordancewithstandardengineeringpracticeandwithalllawfulgovernmentalregulations.The Cityshallhavetheauthorityatalltimesinfurtheranceofsafety,convenience,and welfare ofthepublic to controlbyappropriateregulationsthelocation,elevation,and manner of construction and maintenance of thegrantee's communication line and conduiton theCity streets and public places subject to theprovisions of any state laws applicabletheretoand such regulations shallbe inconformance withthestandard engineering practice,and thereasonableness from thestandpointofthegrantee's operations and facilities.The granteeagreestopromptlyconformwithallsuchregulations. Section 6:AIIcommunicationlines ofthegrantee shallbe laidinsuch a manner as nottointerferewithanypresentpublicorprivateirrigationordrainditches,drains,sewers,water mains,conduits,sidewalks,paving, or other publicimprovements,and allrepairs theretoor replacements required shall be accomplished asprovidedinSection7.The CityofMoses Lake reserves therighttoconstruct,change,orrepair any publicimprovements,andtochange the grades ofany streets,alleys,or sidewalks;written notice ofsuch intention tochange any streets,alleys,or sidewalks where any part or parts ofthedistributionsystem of thegrantee maybe involved,shall be firstgiventhegrantee,and ifany changes or repairs are required,thegrantee shall,at its ownexpense,Iower,change,oralter thecommunication lines or appurtenances involved accordingly,and in accordance with the standard engineering practice and any regulations pertaining thereto;and thegranteeshallnotinterferewithotherpublicutilitiesorcityoperatedutilitiestherein.If practicable,nocommunicationlineshallbelaidcloserthanfourfeet(4')to any utility. O Section 7:No extensions ofcommunicationlines shallbe made and no constructionor reconstruction shallbecommencedinconnectionwiththelayingorreplacingofcommunicationlinesunlessplanshavefirstbeensubmittedandapprovedbytheofficialsoftheCityofMosesLake. Section 8:AIIearth,materials,sidewalks,paving,crossings,or improvements ofany kind,disturbed,injured, or removed by thegrantee shall be fullyrepaired,or replaced promptlyby the grantee,and the grantee shallprotectandsavethecityharmlessforanylossordamagesthereon.The grantee shall further be requiredtoconformtoanyordinanceoftheCityofMosesLakewithreferencetocuttinganystreetsorsidewalksandthereplacementthereof. Section 9:The grantee shall at alltimeskeep maps and records showing the locations and sizes of all communication lines laidbyitor ownedby itînstreets and otherpublicplaces,and such maps and records shall be furnishedtothe officialsoftheCityof Moses Lakewithoutcost Section 10:In case offeilure onthe part ofthegrantee tocomplywithanyoftheprovisionsofthisordinance, or ifthe grantee,theirsuccessors or assigns,do or cause tobe done,any act or thingprohibited by or in violation of the termsof thisordinance,the grantee shall forfeit all rights and privileges granted by theordinance,and all rights thereunder shall cease;provided that such forfeiture shall not occur nor take effect untiltheCity of Moses Lake shall carry out the following proceedings: A.Before thecitymay proceedtoforfeitthisfranchise,it shallserve,by certifiedmail,a writtennotice upon thegrantee,theirsuccessors or assigns,setting forth clearly and indetail the failure of violation complainedof and the grantee shall have ninety (90)days thereafterin which tocomplywith theconditionsofthisfranchise. B.Ifsuch failure or violation continues beyond said ninety (90)days,then the City Council of theCity ofMoses Lake,at its sole discretion,shall have theright toforthwith determine thatthisfranchise is forfeited.Said determination shall be made,however,only upon proof established tothesatisfaction of the City Council,and such as would be considered competent evidence in any court of records, showing a breach of thisfranchise,and showingthat the rights of the Cityof Moses Lake or its inhabitants have been materially and substantially aflected thereby. C.Provided,however,thatsuch failure or default or violation,shall notconstitutegrounds for forfeiting ofthisfranchise ifdue materially,substantially,and reasonably to acts ofGod,fire,flood,storm,orotherelementorcasualty,theft,war,disaster,strike,lockout,boycott,prevailingwar or war preparation induced conditionsor bona fidelegal proceedingsbeyondthecontrolof the grantee. Section 11.Inthe event thatany sentence,clause,paragraph,or section ofthisordinancebe held void by any court,itshallnot affectthebalance hereof,and thisordinance shall become effective upon passage and approval by theCity of Moses Lake and its acceptance in writing by the Wenatchee Valley Clinic which acceptance must be filedwithin thirty(30)days after the passage and approval bytheCityCouncil ofthe City ofMoses Lake,Washington. Section 12.The grantee,by theiruse ofthisright and privilege,covenants and agrees withthecitytoat all timesprotect and save harmless thecityfromallclaims,accidents,suits,liability,loss,expense,ordamage of any kind and description which may accrue to or be sufferedbyany person or persons,firm,corporation, or any building,or any damage arising outoftheownership,excavation,installation,construction,repair or operation of said communicationlineofany act done by thegrantee underthisrightand privilege. Section 13:This ordinance shall takeeffectand be in force five (5)days after its passage and publication of its summary as providedby law.
