2016_00001ORDINANCE NO.2016 AN ORDINANCE CREATINGMOSES LAKEMUNICIPALCODE CHAPTER5.60ENTITLED"RIGHT-OF-WAYUSE BYTELECOMMUNICATION,CABLEPROVIDERSANDOPENVIDEOSYSTEMOPERATORS" THECITYCOUNCIL OF THE CITYOF MOSES LAKE,WASHINGTON DO ORDAINASFOLLOWS: Section 1.Chapter 5.60 of theMoses Lake Municipal Code entitled"Right-of-Way Use byTelecommunica-tion,Cable Providers,and Open Video SystemOperators"is created as follows: 5.60.010 Findings: A.Pursuant toprovisionsoftheRevised CodeofWashington,theFederalCommunicationsActof1982and1996,and other lawfulauthority,theCityhas theauthoritytoregulatetheuse ofitsstreetsandotherCityproperty. B.The CityCouncilfindsthatan increasing numberoftelecommunicationscarriers,openvideosystemoperatorsandcableoperatorshaverequestedormayrequestaccesstoandtheuseofrights-of-wayand publicproperty,and totheextent permitted by law,theCity finds itis in thepublic interest torequire theobtaining of business registration,licenses,franchises,cablefranchisesandleasesfromthepersonsorentitiesthatusepublicproperty,easements andrights-of-way. C.To ensure orderly and reasonable access to the rights-of-way and public property fortelecommunicationscarriersandcableoperatorswhileprotectingthepublichealth,safetyandwelfare,theCityCouncil determines thatitneeds toinclude regulationsand standardsfortheuseofsuchproperty. 5.60.020 Purpose:The purpose of thisChapter is to: A.Permit and manage reasonable,fair,and equitableaccess tothepublicrights-of-way of theCityfortelecommunicationspurposesonacompetitivelyneutralbasis; B.Establish predictable,enforceable,clearand nondiscriminatorylocal regulations,guidelines, standards and timeframes fortheexercise of local authority with respect totheregulation ofTelecommunicationsCarriers,Open Video System Providersand Cable Operators; C,Conservethe limited physical capacityofthe public rights-of-wayheldinpublictrustby theCity; D.Assure thattheCity'scurrentand ongoing costs of granting and regulating private access toanduseofthepublicrights-of-way and/or public property are fully compensated by thepersonsseekingsuchaccessandcausingsuchcosts; E.Assure thattheCitycan continuetofairlyandresponsibly protect thepublic health,safety andwelfare;and F.Enable theCitytodischarge its publictrustconsistentwithrapidlyevolvingFederaland Stateregulatorypolicies,industrycompetitionand technologicaldevelopment G.To reasonablyand fairlycompensate theCityfor use of and disruption to right-of-way. 5.60.030 Definitions:Terms used in thisChaptershall have thefollowing meanings: A."Affiliate"means a person that(directlyor indirectly)owns or controls,is owned or controlledby,or is under common ownershipor controlwith,another person. B."Business Registration"means a requirementofalltelecommunicationsand cable providerswhoarenototherwiserequiredtolicenseorfranchisewiththeCity. C."Cable Acts"means the Federal CableCommunicationsPolicyAct of 1984,as amended bytheFederalCableTelevisionConsumerProtectionandCompetitionActof1992,as amendedbyportionsoftheFederalTelecommunicationsActof1996,and as hereafter amended. D."Cable Facilities"see "Facilities" E."Cable Operator"shall have thesame meaning as defined intheCable Acts. F."Cable Service"shallhave the same meaningas defined inthe Cable Acts. G."City"means Cityof Moses Lake. H."CityCouncil"means the Moses Lake CityCouncil. I."CityManager"means theoffice oftheMoses LakeCityManager ordesignee. Ord.#2016 -Page 2 J."Development Standards"are the City's Community Development Standards. K."Director"means theCity's Municipal ServicesDirector or designee. L."Excess Capacity"means the volume or capacity in any existing or future duct,conduit, manhole,handhold orother utilityfacilitywithintheright-of-waythatis or willbe available for use for additional telecommunicationsorcablefacilities. M."Facilities"or"Facilities"means theplant,equipmentand property,including but notlimited to thepoles,pipes,mains,conduits,ducts,pedestals,antennae,electronics,cables,wires, plant,and other appurtenances and equipmentlocated under,on or abovethe surface ofthegroundwithintheright-of-way oftheCityand used or tobe usedier thepurpose of providing UtilityServicesortransmitting,receiving,distributing,providing,or offering Telecommunica- tionsServices. N."FCC"or"Federal CommunicationsCommission"means the Federal administrativeagency, or lawful successor,authorized to regulate and oversee telecommunicationscarriers, services and cableoperators on a national level. O."Franchise"an agreement requiredwithany telecommunicationscarrier or cable operator who desires to construct,install,operate,maintainor otherwise locate facilities in rights-of- way and toalso provide telecommunicationsorcable services topersons orareas intheCity. P."Grantee"means telecommunicationscarriersand cable operatorsgrantedrightsandbound by obligationsas more fullydescribed herein. Q."License"is an agreement withanytelecommunicationscarrierwho desires to construct, install,operate,maintain orotherwiselocatetelecommunicationsfacilities inrights-of-wayand to also provide telecommunicationsservices exclusivelyto persons and areas outsidethe City. R."OpenVideo System"means those systems defined and regulatedas open video systerns by the Federal Communications Commission,pursuant to Section 653 of the Federal Communications Act of 1934,as amended,47 U.S.C.§573. S."Ordinance"means thisordinance,Chapter 5,60of the Moses Lake Municipal Code. T."Overhead Facilities"means telecommunicationsand/or cable facilitieslocated above the surface oftheground,including theunderground supportsand foundationsforsuch facilities. U."Person"meanscorporations,companies,associations,firms,partnerships,limitedliability companies,other entities and individuals. V."Rights-of-Way"includes the surface ofand space above and below any realproperty inthe Cityinwhich theCityhas anyinterest whetherinfee,easements,or otherwise,or interest as a trustee for thepublic,as theynow or hereafter exist,including,butnotlimitedto,allpublic streets,highways,avenues,roads,reservoirs,alleys,sidewalks,tunnels,viaducts,bridges, skyways,parks,trails,oranyotherpublic place,area or property underthe control oftheCity. W."ServiceConnection"meansa connectionmade toatelecommunicationsfacilityand/orcable facilityfor the purpose of providingtelecommunicationsorcable services. X."State"means theState ofWashington. Y.Surplus Space"means that portion of the usable space on a utilitypole which has the necessary clearance from other pole users,as requiredbytheorders and regulations ofthe Washington Utilitiesand Transportation Commission,toallow its use by a telecommunica- tions carrier for a pole attachment Z.Telecommunications Carrier"for purposes of thischapter includes everyperson thatdirectly or indirectly owns,controls,operates or manages plant,equipment,structures,or property within the City,used or to be used for the purpose ofofferingtelecommunicationsservice. Provided,however,thisdoes not include lessees thatsolelylease bandwidth (anddo notown telecommunicationsfacilities withintheCityofMoses Lake). AA."Telecommunications Facilities"see "Facilities" BB."Telecommunications Service"means the providing or offering for rent,sale or lease,or in exchange for other value received,the transmittalof voice,data,image,graphic or video programming information or service(s)between oramongpoints bywire,cable,fiber optics, laser,microwave,radio,satellite or similar facilities,with or without benefit of any closed transmission medium,provided,however,for the purposes of this Chapter,cable service shall not be considered a telecommunicationsservice. Ord.#2016 -Page 3 CC."Underground Facilities"means telecommunicationsand/orcablefacilities located under thesurfaceoftheground,alone orincombination,direct buried or in utilitytunnelsor conduits,excluding the underground foundationsorsupports for overhead facilities. DD."Washington Utilitiesand Transportation Commission"or "WUTC"means thestate adminis- trativeagency,or lawful successor,authorized under Title 80 of the Revised Code ofWashingtontoregulateandoverseetelecommunicationscarriers,services andtelecommuni-cations providersintheState of Washington tothe extent prescribed by law, EE."Work"means all construction,alteration,enlargement,improvement,repair,and/ordemolitionofafacilitywhichhasnotbeenpreviouslyauthorizedbyfranchise,lease,orpermit. O 5.60.040 Administration:The CityManager isauthorizedtoadministerthischapterand toestablishfurtherrules,regulations and procedures for the implementation of thischapter. 5.60.050 Existina Licenses or Telecommunications or Cable Franchises:Except as otherwise providedinthischapter,and totheextentprovidedby law,thischapter shall have no effect on any license ortelecommunicationsorcablefranchiseexistingasofthedateofadoptionofthischapteruntiltheexpirationofsaidlicense,franchise or cable franchise;or an amendmentto an unexpired license,franchiseor cable franchise,unless both parties agree todefer full compliance toa specificdate not later than the present expiration date.The Citydoes not recognize the existence of anytelecommunicationscarrierwhichisexemptfromtheobligationtoacquireafranchiseorlicensefromtheCity. 5.60.060 Existina Telecommunications Carriers and/or Cable Operators Occupyingthe Rights-of-way without a License or Franchise:Notwithstanding theforegoing,therequirements of thischapter shall apply toany telecommunicationscarrier,open video system operatororcableoperatorwhocurrentlyoccupiesrights-of-way without a license,franchise,cablefranchise or other agreementwiththeCity.Any such telecommunicationscarrier or cable operator shall register or applyfor a license,telecommunicationfranchise or cable franchise as provided by thischapter within onehundredandtwenty(120)days of the effective date of thischapter.This chapter shallnot applytolesseesthatsolelyleasebandwidth(anddo not own telecommunicationsfacilities within theCity)so long as the lessor has compliedwith therequirements ofthischapter. 5.60.070 Registration Reguired: A.Business Registration:AIItelecommunicationscarriers or cable operators havingfacilitieswithintheCitythatofferorprovidetelecommunications,open video or cable service withinOtheCitywhoarenototherwiserequiredtoacquirealicenseorfranchise,shallregisterwiththeCityassetforthinChapter5.50 of theMoses Lake Municipal Code. B.Exception to Registration:A person that provides telecommunicationsor cable servicessolelytoitself,its affiliates or members between points in the same building,or betweencloselylocatedbuildingsundercommonownershiporcontrol,providedthat such persondoesnotuseoroccupyanyrights-of-way oftheCityor other ways withintheCity,is exceptedfromtheregistrationrequirementspursuanttothischapter. 5.60.080 License orFranchiseApolication:To theextentpermitted by law,any telecommunicationscarrier or cableoperatorwhocurrentlyoccupiesordesires inthefuturetooccupyany rights-of-waywith any facilitiesfor the purpose of providing telecommunicationsor cable services shall file anapplicationonaformprovidedbytheCityManagerforoneormoreofthefollowing: A.License:Required ifthe telecommunicationscarrier or cable operatorprovidesor intends toprovideservicesexclusivelytopersonsorareasoutsidetheCity. B.Telecommunications Franchise:Required if the telecommunicationscarrier provides orintendstoprovideservicetoanypersonorareawithintheCity. C.Cable Franchise:Required ifthecableoperator provides or intends toprovide cable servicestoanypersonorareaintheCity.Services similar to cable service,such as open videosystems,shall also be subject tothischapter,and subject tosubstantiallysimilartermsandconditionsasthosecontainedinfranchiseagreement(s)issued to cable operator(s)in theCitywithrespecttofranchisefeeobligations,public,educational,and governmental accessprogrammingobligations,and all other franchise obligations to theextentprovided by law. O 5.60.090 Determination bv the City:Within one hundred and twentydays (120)days after receiving acompleteapplicationhereunder,the City Council shall make a determination on behalf of theCitygrantingordenyingtheapplicationinwholeorinpart.Iftheapplicationis denied,thedetermina-tion shall include the reasons for denial.The following criteriashall apply when determiningwhethertograntordenytheapplication: A.The applicant must have current registration issued by theFCC and WUTC. B.The applicantmust demonstratethewillingness and abilitytomitigateand/or repair damage or disruption,ifany,topublic orprivatefacilities,improvements,sentices,travelor landscap-ing iftheapplicationis granted. Ord.#2016 -Page 4 C.The grant touse therights-of-waywillserve thecommunityinterest. D.Applicable federal,state and local laws,regulations,rules and policies willbe met. 5.60.100 Conditions:The following conditionsapplytoeach license or franchisegranted hereunder. A.Area and Location:As part of the construction permittingprocess for specific routes requested withineach license ortelecommunicationsor cablefranchise,a determination will be made whether sufficientcapacity is available in the rights-of-way.Alternate routes or locations for the proposed facilities may be considerediffessible. B.License Route:A license granted hereunder shallbe limited toa grantofspecificrights-of- wayand defined portionsthereof,as may be indicated in the license agreement. C.Franchise Territory:A telecommunicationsor cable franchise granted hereunder shall encompass all territorywithinthecorporate limits. D.FacilitiesMaps:Upon request by theCityManager or theManager's designee,the grantee shall provide the Citywith maps ina format agreed toby thegrantee and the City,identifying the location of all telecommunicationsand cable facilities within the rights-of-way except individual service connections. E.Leased Capacity:Agrantee shallhave therighttooffer or provide excess conduitcapacity toanother telecommunicationsorcable providerwithprior Citynotification,providedthat: L Grantee shallfurnishthe Citysixty(60)days advancewritten noticeof any such proposed lease oragreement; 2.The proposed lessee shall complywith allof the requirementsof thischapter prior to providing telecommunicationsorcable service. F.Consistency withinClass:Alllicenses and telecommunicationsand cable franchises granted pursuant tothischapter shallcontainsubstantially similartermswhich,taken as a whole and considering relevant characteristics of applicants,are substantially consistent withthose required of other licensees and telecommunicationsand cablefranchisees. G.Limitations: 1.Nogrant shall convey any right,titleor interest in rights-of-waybut shall be deemed a license orfranchise onlytouse and occupy the rights-of-way for the limited purposes and term stated in the grant 2.No grant shallauthorize or excuse a licensee or franchisee from securing such further easements,leases,permits or otherapprovalsas may be required to lawfullyoccupy and use rights-of-way. 3.No grant shall expressly orimplicitlyauthorize a licensee or franchisee toprovide service to,or install a system on privateproperty without owner consent,or to use publicly orprivatelyownedpoles,ducts or conduitswithout a separate agreement withthe owners and tothe extent providedbylaw. 4.No grantshallconferany exclusive right,privilegeor license tooccupy oruse therights-of- way fordelivery oftelecommunicationsor cable services or for any other purposes. 5.Nothing herein shallbe deemed or construed to impair or affect,in any way or to any extent,the City's powerof eminent domain. H.Term:Unless othenvise specified in a license,telecommunicationsfranchise or cable franchise agreement,the term shallbe for no morethanten(10)years. 5,60.110 Aoplicabilityto Use of Rights-of-wav:The termsofthischapter shallapply toall grantees. A.General Duties: 1.Allgrantees,before commencingany construction in the rights-of-way,shall acquire appropriatepermitsand complywith allrequirementsoftheMoses Lake Municipal Code and the Cityof Moses Lake Community Development Standards.Inthe eventof a conflict between thischapter and the Moses Lake CommunityDevelopment Standards,theMoses Lake Community Development Standards shall control. 2.Allgrantees shall have no ownership rightsin rights-of-way,even thoughtheymay be granted a license,franchise or cable franchise toconstruct or operate theirfacilities. 3.Nothing herein shall limitorotherwise affecttheauthority oftheCityto require a lease for any use,occupation,construction,installation,maintenanceorlocationupon anyproperty ownedinfee bythe City, Ord.#2016 -Page 5 B.PhysicalLocationofFacilities:Unless otherwiserequiredin current or futureCityordinancesregardingundergroundconstructionrequirements,alifacilities shall be constructed,installedandlocatedinaccordancewithhierarchyofthefollowingtermsandconditions: 1.Telecommunications and cable facilities shallbe installed withinan existingundergroundductorconduitwheneverexcesscapacityexistswithinsuchutilityfacilityandpermission can be obtained reasonably from theinstaller of such duct or conduit 2.Whenever oneormore existingtelephone,electricutilities,cablesystemsortelecommuni-cations facilities are located undergroundwithinrights-of-way,a licensee or franchiseeshalloccupythesametrenchwherereasonableandpractical. 3.When sufficient capacity is not available under Sections 1 or2 above,thetelecommunica-tions or cable facility shall be installed underground [withinthe rights-of-way below thesidewalkorwithintheplanterstrip]. 4.Afranchisee or licensee withwrittenauthorizationto install overheadfacilities shallinstall its telecommunicationsor cable facilities on poleattachments toexistingutilitypoles only,and thenonlyifsurplusspace is available. 5.When a franchisee or licensee has been granted authoritytoinstalloverheadfacilitiesasinSection4aboveandtheCitydirectssuchfacilitiestoberelocatedtoallowconstruction or reconstructionwithintheright-of-way,a licensee orfranchiseethatoccupiesthesamerights-of-way shall concurrently relocate its facilities underground at its expense. C.ConduitOccupancy:In furtherance of the public purpose of reduction of rights-of-wayexcavation,itisthe goaloftheCitytoencourage both theshared occupancy of undergroundconduitaswellastheconstruction,whenever possible,of excess conduit capacityfor occupancy offuturerights-of-wayoccupants. 1.City Use.At the option of the City,whenever new conduit is laid by the licensee orfranchisee,theCity shallbe providedaccess tothe open trench or bore hole and spaceshallbemadeavailableforpurposesofinstallingone(1)twoinch (2")conduitforCityuse.There shall be no cost totheCity associated withthetrenching,backfilling,boring orsurfacerestorationinvolvedwiththeseactivities.While not an inclusive list,such option willbe exercised primarilyon arterialstreets or near environmentallysensitiveareas. 2.Use by Others.When the Cityreasonably determines such construction is in an area inwhichanothertelecommunicationsorcableprovidermayalsoconstructtelecommunica-O tionsor cable facilities in thefuture,theCitymay requirethefranchisee or licensee toconstructorinstallexcessconduitcapacityintherights-of-way,provided the expense ofsuchexcessconduitcapacityshallbebornebytheCityorothersuchpersonwhocontractswiththeCitytobeartheexpense(calculatedas thedifference between whatgranteewouldhavepaidfortheconstructionofitsconduitandtheadditionalcostonlyoftheexcessconduit).Grantee may manage theexcess conduititself and be permittedtochargeareasonablemarketleaserateforoccupancyoftheadditionalconduitspace,providedsuch lease revenues shall be firstappliedto reimbursethe Cityfor its actualcontributiontotheconstructionoftheexcessconduitplusinterestcompoundedattheWashingtonStateLocalGovernmentInvestmentPoolrateduringthetimeinquestion. D.Occupancy of CityOwned Conduit:Infurtherance ofthesame objectivesofC,above,iftheCityownsconduitinthepathofgrantee's proposed facilities,and provided itistechnologicallyfeasibleforgranteetooccupytheconduitownedbytheCity,grantee shall be required to occupy theconduit owned by the City inorder to reduce the necessity toexcavate therights-of-way.Grantee shall pay totheCitya reasonable fee for such occupancy. E.Relocation or Removal of Facilities:Within ninety (90)days followingwritten notice from theCity,a grantee shall,at itsownexpense,temporarilyorpermanently remove,relocate,placeunderground,change oraltertheposition ofanytelecommunicationsorcablefacilitieswithintherights-of-way whenever theDirector shallhave determined thatsuch removal,relocation,undergrounding,change oralterationis reasonablynecessary for: 1.The construction,repair,maintenance or installation of any Cityor otherpublic improve-ment in or upon the rights-of-way; 2.The operationsofthe City or other governmentalentity inor upon the rights-of-way. F.Removal of Unauthorized Facilities: 1.A telecommunicationsor cable facility is unauthorized and subject to removal in thefollowingcircumstances: a.Upon expiration orterminationofthegrantee's license,telecommunicationsfranchiseorcablefranchiseunlessotherwiseprovidedbylaw. b.Upon abandonmentofa facilitywithinthe rights-of-way. Ord.#2016 -Page 6 c.If the facilitywas constructed or installed without the prior issuance of a required encroachment or utilitypermit,license,telecommunicationsfranchise,or cable franchise. d.Ifthe facilitywas constructedorinstalledat a location notpermittedby thegrantee's license,franchise or cablefranchise. e.To theextent permitted by law,any such other reasonable circumstances affecting public health,safety and welfaredeemed necessary bytheCity Manager. 2.The City Manager mayexercise discretiontoallow an unauthorized facility tocome into compliancewiththischapter upon writtenrequestoftheunauthorizedtelecommunicationscarrierorcableoperatormadewithinthirty(30)days after said carrier or operator is notifiedthatthefacility is unauthorized pursuant tothis chapter.Notice shallbe given in waccordancewithMLMC5.60.130.The City Manager shall make the determination of whether toallowsaid carrier or operator to cure byusingthe standards ofreview setforth in MLMC5.60.130. 3.Notwithstanding any other provisionof thischapter,theCityManager may,if deemed appropriate,allowa granteeor otherpersonwho mayown,controlormaintaina telecom- municationsorcable facilitieswithintherights-of-wayof Citytoabandon such facilitiesin place.No facilities of any typemay be abandoned in place withouttheexpress written consent oftheCityManager.Anyplan forabandonmentorremovalofsuch facilitiesmust be first approved by the CityManagerand all necessary permits must be obtained prior tocommencement of such work.Upon permanent abandonmentofany telecommunica- tionsor cablefacilities of such persons in place,the facilities shall become the property of the City,and such persons shallsubmit totheCityManager an instrument inwriting, to be approved by the CityAttorney,transferringownershipof such facilities totheCity. The provisionsofthissection shallsurvivetheexpiration,revocation orterminationofanylicense,franchiseor cable franchise granted under thischapter. G.Noncomplying Work:Upon order of an authorizedrepresentativeoftheCity,allworkwhich does notcomplywith the permit,theapproved plans and specifications for thework,or the requirements ofthischapter,shallbe removed. 5,60.120 Amendment of Grant: A Adding or Modifying Services:Additions or modificationsto initial route(s)identified for licenses which are determined to be significant by the Director willrequire a new license. B.Relocation of Services:Iforderedby theCityto locate or relocate itstelecommunicationsor cable facilities in rights-of-way not included ina previouslygranted license,telecommunica-tions franchise or cable franchise,the City shall grant a license or franchise amendment without further application. C.Assignments or Transfers:AIIassignees or transfereesofinterestin a license,franchise,or cable franchise of any telecommunicationscarrieror cable operator must complywith the termsand conditions of thischapter,thelicense,telecommunicationsfranchise,or cable franchise agreement,therequirementsoftheFCC,and therequirementsoftheWUTC.If said assignee ortransfereefailstocomplywithsuch requirements,the license,telecommuni- cations franchise,or cablefranchise assigned or transferred is subjectto revocation. 5.60.130 Renewal of Grant A.Renewal application:A licensee orfranchisee thatdesires torenew its license or franchise hereunder shall,notmorethanone hundred and eighty(180)days nor less than one hundred and twenty(120)days before expiration ofthecurrent license or franchise,filean application with theCity for renewalof its license orfranchise. B.Renewal Determination:Within ninety (90)daysafter receiving an applicationhereunder,the City Manager shall make a determination on behalf of the City granting or denying the renewal applicationinwhole or inpart.Ifthe renewalapplication is denied,thedetermination shall include the reasons for non-renewal,The criteria enumerated inthischapter shall apply when determining whetherto grantor deny the application,andthe Citymay further consider the applicant's compliancewith therequirements ofthischapter and the license or franchise agreement. C.ObligationtoCureas a Conditionof Renewal:No license or franchise shall be renewed until anyon-going violationsordefaults inthelicensee's orfranchisee's performanceof thelicense orfranchise agreement,oftherequirements ofthischapter,andallapplicablelaws,statutes, codes,ordinances,rules and regulations have been cured,or a plan detailing thecorrective actionto be takenby thelicensee or franchiseehas been approved by the CityManager. Failure tocomply with the termsof an approvedplan shallbe grounds for non-renewal or revocationofthe license or franchise. Ord.#2016 -Page 7 5.60.140 Revocationor Termination ofGrant:A license,telecommunicationsfranchise orcable franchisegrantedbytheCitytouseoroccupyrights-of-waymay be revoked pursuant tothe provisionsofMLMCSections5.60.100F,5.60.1100,5.60.1200,or for any ofthefollowingreasons: A.Construction oroperationin theCitywithouta franchise or permit. B.Constructionoroperationat an unauthorizedlocation. C.Unauthorized transferof control ofthe person subject tothischapter. D.Unauthorized assignment ofa franchise or permit. E.Unauthorizedsale,assignmentor transferofallofa franchisee's or permittee's assets,orasubstantialinteresttherein. F.Misrepresentationorlack ofcandorbyoronbehalf ofa person inanyapplicationuponwhichtheCityreliesinmakinganydecisionherein. G.Abandonment offacilitiesin thepublic ways. H.Failure torelocate or removefacilitiesas required in thischapter. I.Failure to pay taxes,compensation,fees or costs when and as due. J.Insolvency or bankruptcyofthefranchisee or permittee. K.Violation of material provisions of thischapter. L.Violation of thematerialtermsofa permit orfranchise agreement. M.Notice and Dutyto Cure:In the event thattheCityManager believesthatgroundsexist for revocation of a license or franchise,written notice shall be givenof the apparent violation ornoncompliance,including a short and concise statement of the nature and general facts oftheviolationornoncompliance.The Grantee shall be given a reasonable period of time,notexceedingthirty(30)days,tofurnish evidence: 1.That correctiveactionhas been,oris being activelyand expeditiouslypursued,toremedytheviolationornoncompliance. 2.That rebuts theallegedviolationor noncompliance. 3.That itwould be in thepublicinterest to impose some monetary damages,penalty orsanctionlessthanrevocation. N.Standards for Revocation or Lesser Sanctions:Ifpersuaded thatthe grantee has violated or failedtocomplywith a material provision of thischapter or of a license,telecommunica-tionsfranchise or cable franchise or applicable codes,statutes,or rules and regulations,theCityManagershallmakeapreliminarydeterminationwhethertorevokethelicense, telecommunicationsfranchise or cable franchise,and issue a written order,or to impose monetarydamages,apenalty,orother such lesser sanction and cure,considering the nature,circumstances,extentand gravityof theviolation as reflected byone or more ofthe followingfactors: 1.Whether themisconduct was egregious. 2.Whether substantial harm resulted. 3.Whether theviolationwas intentional. 4.Whether thereis a history of prior violations of thesame orother requirements. 5.Whether thereis a history ofoverallcompliance. 6.Whether theviolationwas voluntarily disclosed,admitted or cured. O.Appeal:Any person aggrieved bythegrantingor denying ofa telecommunicationslicense,O telecommunicationsfranchise or cable franchise or the renewal thereofpursuant to thischaptershallhavetherighttoappealtotheCityCouncilasfollows: 1.Allappeals filedpursuant tothissection must be filed in writing withthe City Managerwithinfifteen(15)workingdays ofthedate of the decisionappealed from. 2.Allappeals filed pursuant to thissection shall specify the error of law or fact,or newevidencethatwasnotreasonablyavailableatthetimeoftheCityManager's decision,whichshallconstitutethebasis oftheappeal. Ord.#2016-Page 8 3.Uponreceipt of a timelywrittennotice of appeal,theCityManagershalladvise theCity Councilofthependencyand schedule a date for a hearing. 5.60.150 Grantee Insurance,Bondand Security Fund:Each grantee shall secure and maintaininsurance and bond as set forth below: A.Insurance required:Commercialgeneral liability Insurance,and,if necessary,umbrella liabilityinsurance,whichwillcover bodily injury,propertydamage,and any other exposurewhichbereasonablyidentifiedaspotentiallyarisingfromthegrantee's activitieswithin therights-of-way.The limitof liabilityshall not be less thantwomilliondollars ($2,000,000)for each occurrence.The City,its elected and appointed officers,officials,employees,agents, and representativesshallbe named as additionalinsured with respect toactivities occurring within its rights-of-way.Coverage shall be comprehensive withrespect tothe grantee's activities withinthe rightsof-way and shall include completed operations,explosions, collapse,and underground hazards.Such insurance shall name the Cityas additional insured and providea certificate of insurance with a forty-five(45)day cancellationnotice. B.Bond Required:The grantee orthecontractor forthegranteeshall post withthe Citya bond withsurety qualified to do a bonding business in thisstate,a cash deposit or an assigned savings accountorother securityacceptable tothe City in an amountequaltoone hundred fiftypercent (150%)of thecost of the workas estimated bytheDirector or inanamountas set forth in the franchise agreement.Such bond,deposit or other securityshall be condi- tionedupon the grantee orits contractor performing the workpursuant tothetermsofthis chapter,including the restoration and/or replacement of the street,sidewalk,or other rights- of-way within thetimespecified by the Director.Such bond,deposit or other securityshall be approved bytheCityAttorney before being accepted by theCity. C.Security Fund: 1.The City reserves the rightto require of any person subject to thischapter that such person deposit into a bank account,established by the City,andmaintain forsuch term as is reasonable under the circumstances with interest runningtosuch person,a sum of money in an amount reasonably determined by the City as security for the faithful performance by such person of all the provisions ofits franchise or permit,and compli- ancewithall orders,permits and directionsofanyagencyoftheCity,andforthepayment ofany claims,liens and taxes due the City or liquidated damages imposed by theCity which arise by reason of the construction,operation or maintenance of such person's system.Within thirty(30)days after noticeto itthatany amount has been withdrawn by the Cityfrom thesecurity fundpursuanttotheforegoing,such personshall deposit a sum of moneysufficient to restore such securityfund totheoriginalamount in the account at the timeofwithdrawal. 2.Ifsuch person fails after ten(10)days noticetopaytheCityanydelinquentfees,taxesor other amounts due and unpaid;or,fails to repay to the City,after such ten (10)days notice,any damages,costs or expenses which the Cityshall be compelledto pay by reason ofany actor default ofsuchperson;or fails after forty-five(45)days notice ofsuch failure by the City to complywithany provisionof its franchise or permit which theCity reasonably determines can be remedied by an expenditure of thesecurity,theCitymay immediately withdrawthe amount thereof,with interest and any penalties,from the securityfund.Upon such withdrawal,the Cityshallnotifysuch person of theamountand date thereof. 3.The securityfund deposited pursuant tothissectionshallbecome theproperty oftheCity intheevent thata franchise or permitis canceled by reason ofthedefault of theperson subject tothis chapter or revoked for cause.Such person,however,shall be entitled to the return of such security fund or portionthereof which remains on deposit at the expiration of the term of the permit or franchise,or upon terminationof the permit orfranchiseatanearlierdate,upon payment ofallsums then due tothe City. 5.60.160 Release,Indemnity,and Hold Harmless: A.Additional requirements:Inadditiontoand distinct from the insurance requirements of this chapter,grantee releases and shall defend,indemnify,andhold harmless City from any and allclaims,losses,costs,liabilities,damages,and expenses (exceptthosedamages caused solelyby the negligenceof the City),including,but not limited to,thoseof the grantee's lessees,and also including,butnot limitedto,reasonable attorneys'fees arisingout of or in connection withthetelecommunicationsorcablefacilities,the performance ofanywork,the operationof anytelecommunicationsorcable.facilities,or thegrantee's system,or theacts oromissions ofthe grantee orany of its suppliersorcontractors ofanytier,or anyone acting on the grantee's behalf in connection with said installation of telecommunicationsorcable facilities;performance of work,or operation of telecommunicationsor cable facilities or grantee's system. B.Inclusions:Such indemnity,protection,and hold harmless shall include anydemand,claim, suit,orjudgementfordamages toproperty orinjurytoor death ofpersons,íncluding officers, agents,and employees ofany person including payment made under or inconnection with anyworker'scompensationlaworunderany planforemployees'disabilityand death benefits, which mayarise out ofor be caused or contributedto directly or indirectly by the erection, Ord.#2016 -Page 9 maintenance,presence,operation,use,or removal of grantee's telecommunication,openvideosystemorcablefacilities,includinganyclaimsordemands ofcustomers of the granteewithrespectthereto. C.Indemnification:A person subject to thischapter shall,at its sole expense,fully indemnify,defend and hold harmless the City,and in its capacityas such,theofficersand employeesthereof,from andagainstanyandallclaims,suits,actions,liabilityand judgmentsfordamage or otherwise (exceptthose arising wholly from negligence on the part of the City or itsemployees)(a)for actual or alleged injury to persons or property,including loss of use ofpropertyduetoanoccurrence,whether or not such property is physically damaged ordestroyed,in anywayarisingout of orthroughor alleged toarise out ofor throughtheacts O or omissionsofsuch person or its officers,agents,employees,or contractors or to whichsuchpersonoritsofficers',agents',employees'or contractors'acts or omissions inanywaycontribute,and whether or not such acts or omissionswere authorized or contemplated bythepermitorfranchiseorapplicablelaw;(b)arising out of or alleged toarise outofanyclaimfordamagesforsuchperson's invasion ofthe right ofprivacy,defamation ofanyperson,firm or corporation,or the violation of infringement of any copyright,trademark,tradename,service mark or patent,or of any other right of any person,firm or corporation;and/or (c)arisingoutofor allegedtoarise out of such person's failure to comply with the provisionsof any statute,regulation or applicable policyoftheUnited States,State ofWashington or anylocalagencyapplicabletosuchpersoninitsbusiness,Nothing herein shall be deemed topreventtheCity,itsofficers,orits employees from participating inthedefense of anylitigation by theirown counsel at such parties'expense.Such patticipationshall not under anycircumstancesrelieveapersonsubjecttothischapterfromitsdutyofdefenseagainstliability or ofpayinganyjudgmententered against theCity,its officers,or its employees. D.Application:Tothefullestextentpermitted byapplicablelaw,theforegoingrelease,indemnity and hold harmless provisionsshallapplytoand be for thebenefit of theCity. E.Successors and Assigns:AIIprovisions of this chapter shall apply tothesuccessors andassignsofthegrantee. 5.60.170 Applicabilityof Fees and Compensation: A.Fees:The fees to be paid tothe City at thetimeofapplicationfor registration,license,orfranchiseorconstructionpermitsshallbeestablishedbyresolutionoftheCityCouncil.AIIfeespaidshallbenonrefundable.Fees may include business registration,application,rights- of-waycompensation,utilitypermitand inspection,and otherregulatoryfees. O B.CompensationtoCity:Each license granted hereunder issubjecttotheCity'sright,totheextentpermittedbylaw,tofix a fair and reasonable compensation to be paid for use ofpropertypursuanttothelicenseorfranchise,providednothinginthischapter shall prohibittheCityandalicenseeorfranchiseefromagreeinguponthecompensationtobepaidorservicestobeprovided.Intheabsence ofsuch an agreement,such compensationshall be in an amount reasonablyestablished by the City Council.Provided thatthecompensationrequiredfromanytelecommunicationsproviderorcarrierengagedinthetelephonebusiness as defined in RCW 82.04.065 shall be consistentwithRCW 35.21.860. C.Fees and CompensationNota Tax:The fees,charges,andfines providedforinthischapterandanycompensationchargedandpaidfortherights-of-way provided herein,whetherfiduciaryorin-kind,are separate from,and additionalto,anyand allfederal,state,local,andCitytaxesasmaybelevied,imposed ordue froma telecommunicationscarrier or provider,its customers,or subscribers or on account of thelease,sale,delivery,or transmissionof telecommunicationsservices. 5.60,180 Penalties:Any personfoundviolating,disobeying,omitting,neglecting orrefusingtocomplywithanyoftheprovisionsofthischaptershallbedeemedtohavecommittedacivilinfraction.Upon a judicialdetermination theinfraction was committedbyany person violating any provisionofthischaptersuchpersonshallbesubjecttoapenaltyofuptotwothousanddollars($2,000.00)plusassessmentsandpenalties.A separate and distinct violation shall be deemed committedeachdayonwhichaviolationoccursorcontinues. 5.60.190 Other Remedies:Nothingin thischapter shallbe construed as limitinganyother remedies thattheCitymayhave,at law or in equity,for enforcement of Chapter 5.60 of the Moses LakeMunicipalCode,Notwithstanding the existence or use ofany other remedy,theCity may seeklegalorequitablerelieftoenjoinanyactsorpracticesandabateanyconditionsthatconstituteorwillconstituteaviolationofthischapter. 5.60.200 Severability: A.Validity:Ifanysection,subsection,sentence,clause,phrase,orotherportion ofthischapter,or its application toany person is,for any reason,declared invalid,inwholeor in partby anycourtoragencyofcompetentjurisdiction,said decision shall not affect the validity of theremainingportionshereof. Ord.#2016 -Page 10 B.Conflict:Ifany provision of thischapter is held tobe in conflictwith any statutory provision of the State of Washington or applicable federal law,said provision which may conflict therewithshall be deemed inoperative and null and void insofar as it may be in conflict therewith,and shall be deemed modifiedtoconform to such statutory provision. 5.60.210 Interpretation ofLicense or Franchise Terms: A.Conflict:In the event of a conflictbetween thischapter and a license or franchise,the provisions ofthelicense or franchise shallcontrol. B.Construction:The provisionsof thischapter and a license or franchise willbe liberally construed inaccordance with generallyaccepted rulesofconstructiontopromotethepublic interest. C.Consistency:When not inconsistent with the context,words used in the present tenseincludethefuturetense,words in thepluralnumber include thesingularnumber,and words in thesingular numberinclude thepluralnumber. Section 2.This ordinanceshall takeeffectand be in force five (5)days after its passage and publication of itssummaryas provided by law.
