2035_00001ORDINANCE NO.2035 AN ORDINANCE GRANTINGTO BASIN WATER SOURCES,INC.,THE RIGHT ANDFRANCHISETOUSEANDOCCUPYDESIGNATEDSTREETS,ALLEYS,AND OTHERPUBLICPLACESANDWAYSOFTHECITYOFMOSESLAKE,WASHINGTON,TOCON- STRUCT,MAINTAIN,REPAIR,RENEW AND OPERATE A WATER DISTRIBUTION SYSTEM WITHINANDTHROUGH CERTAIN PORTIONSOF THECITYOF MOSES LAKE,WASHINGTON THE CITYCOUNCIL OF THE CITYOF MOSES LAKE,WASHINGTON DO ORDAINAS FOLLOWS: Section 1.Location ofFranchise:That Basin Water Sources,Inc.,a Washington corporation,its successorsandassigns,be and itis hereby granted theright,privilege and franchise toconstruct,operate,and maintainin,through,and alongthe present and future streets within the CityofMoses Lake inthe subdivisionknown as Larson Plat No.1 and Larson Plat No.2 tothe Cityof Moses Lake,County of Grant,State ofWashington, and in,through,and along thepresent and future alleys,parkings,publicand other places of saidsubdivisions,water mains,pipes,service connections,togetherwith all of thenecessary appurtenances for the purposesofsupplyingwaterfordomesticusetotheinhabitantsofsaidsubdivisions,for the fulltermofthisfranchise, subject,however,to the limitations herein set forth and provided.Provided,further,thatthisgrant is a non-exclusive grant Section 2.Ter_m:The rights,privileges,and franchise hereby granted toand conferred upon thegranteeshall,unless this franchise be sooner terminated,extend for the fullterm of twenty-five(25)years from thedateoftheacceptancehereofbythegranteeandthegranteeshall,withinthirty(30)days after the date ofthepassingofthisordinance,filewiththeFinance Director,its written acceptance of allterms and conditions ofthisordinance,and ifsuch acceptance is not filed as herein provided,thisordinance shall be nulland void inallrespectsasifneverpassed. Section 3.Assignment:AIIrights and privileges granted and duties imposed by thisordinance uponthegranteeshallextendtoandbebindinguponitssuccessors,legal representatives,or assigns,but thisprivilegeandtherightsgrantedunderthisordinancecannotbetransferredbythegrantee,either byassignments,sale, merger,consolidation,operation of law or othenvise without first obtainingthewrittenconsent of theCity thereto,tobe expressed by an ordinance. Section 4.ContractualRelationships:This ordinance and written acceptance thereofby thegrantee shallconstitutethecontractbetweentheCityofMosesLakeandthegranteeandthesameshallbebindinguponandinuretothebenefitofthegrantee,its successors and assigns,under theconditionsherein imposed. O Section 5.Payments to the City:The grantee shall,during each year of operation under thisfranchise,paytotheCitytheutilitytaxinaccordancewithMosesLakeMunicipalCodeChapter3.30.050 now existing orhereafteramended. Section 6.Construction and Maintenance:Allof the grantee's water distribution system and facilities shallbemaintainedingoodorderandconditionandinaccordancewithstandardengineeringpracticeandwithalllawfulgovernmentalregulations.The Cityshall have the authorityat all timesin furtherance of safety, convenience,and welfare of the publicto control by appropriate regulations the location,elevation,and manner of constructionand maintenance ofthegrantee's water system property and facilities on the Citystreetsandpublicplacessubjecttotheprovisionsofanystatelawsapplicabletheretoandsuchregulations shall be in conformance with the standard remedy by theCityand shallnot prevent theCity from thereafterdeclaringaforfeitureforanyreasonhereinstated,norshallthedelay ofthe Cityindeclaringa forfeiturestopitfromthereafterdoingso. Section 7.UtilityLocations:Allpipelines of thegrantee shall be laid insuch a manner as not tointerfere withanypresentpublicorprivateirrigationordrainditches,drains,sewers,water mains,conduits,sidewalks,paving or other public improvements,and all repairstheretoor replacements required shall be accomplished as provided inSection 6.The CityofMoses Lake reserves the righttoconstruct,change,or repair any publicimprovements,and tochange thegrades or alignmentofany streets,alleys,or sidewalks;written noticetochangeanystreets,alleys,orsidewalks,where any partorparts ofthedistribution systemofthegranteemaybeinvolved,shallbe given thegrantee,and ifanychanges or repairs are requiredbytheCityin theirstreets,alleys,or sidewalks infurtheranceofthesafety,convenience,and welfareof thepublic,thegrantee shall,atitsownexpense,Iower,change,or alter the pipelines or appurtenances involved accordingly,and inaccordancewiththestandardengineeringpracticeandanyregulationspertainingthereto;and thegranteeshallnotinterferewithotherpublicutilitiesorCityoperatedutilitiestherein.Ifpracticable,nowaterline shallbelaidcloserthantwofeet(2')to any utility. Section 8.Water Main Extensions:No extensions of water mains shall be made and no construction orOreconstructionshallbecommencedinconnectionwiththelayingorreplacingofwatermainsunlessplanshavefirstbeenapprovedbyofficialsoftheCityofMosesLakeandacceptanceissuedinwriting.AIIconstructionorreconstructionmustconformtoCityofMosesLakestandardspecificationsthatareineffectattimeofconstructionorreconstruction. Section 9.Repairs:Allmaterials,sidewalks,paving,crossing,orimprovements ofanykind,disturbed,injured,or removedby the grantee shallbe fullyrepaired or replaced promptlyby thegrantee,and thegrantee shallprotectandsavetheCityharmlessforanylossordamagesthereon.The grantee shall further be requiredtoconformtothethenexistingordinancesoftheCityofMosesLakewithreferencetocuttinganystreetsorsidewalksandthereplacementthereof. Section 10.ServiceLines:The grantee shallat alltimesduring the term of thisfranchise install and maintain at its own expense such service devices,as maybe necessary for supplying service to the consumers.The requirementextends to services to the abutting property line.The grantee shall make all reasonable extensions for supplyingservice tothe consumers who request service and are inhabitants of grantee's servicearea.The same shallbe made,supplied and furnished under such reasonable rules and regulations as may be prescribed by the body or authorityhaving jurisdictionthere over. Section 11.QualitvofService:The water tobe suppliedtothe inhabitants ofsaidsubdivisionsshall be testedandapprovedforhumanconsumption,and shallbe supplied totheconsumer's serviceat such reasonable pressure as may be prescribed by theWashington Utilities and Transportation Commission or any other governmental regulatory body having jurisdictionover thegrantee's waterdistribution system,and the rates to be charged and rules and regulationsin respect tothe conditions,character,quality,and standards of servicetobe furnished bythegrantee,and allsuch matters shall be thatas maybe lawfullyprescribedbythe Washington Utilities and Transportation Commission. Section 12.Maos andRecords:The grantee shall agree toprovide to the Citya map ofthe servicearea to be servicedby the grantee's water distribution system ifrequested by the City.The grantee shall at alltimesprovideup-to-datemaps and records showing thelocations and sizes ofallwater mains laid by itor owned by itin said subdivisions if requested bytheCity.Such maps and records shall be fumished totheofficials oftheCityof Moses Lake without cost. Section 13.Rules and Requiations:The grantee,its successors and assigns,may make such reasonable rules and regulationsfor the protection ofits property,for the service and charges toits customers,for thepreventionoflossandwaste,for safety purposes,and forthe conduct and operationof its business in respect to the sale or distribution of water as may be advisable or necessary from timeto time,allin accordance herewith and in conformity with thenexisting laws and regulations. Section 14,Fire Protection and Street Cleaning:The City reserves the right to use the grantee's water distribution system as becomes reasonably necessary forthe purposes of fire protection and street cleaning in theareas serviced bythe grantee's water system;provided,however,thattheabove purposes shall not interfere withthe grantee's normal operation of its water distribution system unless such interference is requiredby an emergency situation. Section 15.Repair and Restoration:In case ofdisturbance ordamage of any street,publicway,pavedarea or public improvement,Basin Water Sources,Inc.shall,at its own cost and expense and inaccordance with therequirements of local law,repair and restore such street,public way,paved area or public improvement to substantially the same conditionas existed before thework involving such disturbance took place.All requirementsofthissection pertaining topublic property shall also apply totherepairandrestoration ofprivate easementsand other privateproperty.Basin Water Sources,Inc.shallperform alfrepair and restoration work promptly.IfBasin Water Sources,inc.fails,neglects orrefusesto make repairs and restorationsas required under thissection,thenthe citymay do such work or cause ittobe done,and Basin Water Sources,Inc.shall paythe cost thereoftothe City.IfBasin Water Sources,Inc.causes any damage to privateproperty ín the process of restoring facilities,Basin Water Sources,Inc.shallrepair such damage. Section 16.Breach and Forfeiture:Incase offailure on the partof thegrantee,its successors or assigns,to complywithanyofthe provisions ofthisordinance,or ifthegrantee,its successors orassigns,do or cause to be done,any act or thingprohibited by or in violation of the termsof this ordinance,the grantee,its successors orassigns,shallforfeit allrights and privileges granted by thisordinance,and all rights thereunder shall cease;provided,that such forfeiture shall not occur nor take effectuntilthe City of Moses Lake shall carry out thefollowingproceedings: Before the Citymayproceed to forfeit thisfranchise,itshall serve,by certified mail,a writtennotice uponthe local manager ofthegrantee,its successors or assigns,settingforth clearly and in detail thefailure orviolation complained ofand the grantee,its successors orassigns,shall have sixty (60) days thereafterinwhich tocomplywith the conditions ofthisfranchise,unless said timeis extended bythe City, ifsuch failure orviolationcontinuesbeyond said sixty(60)days or such extendedtime,thentheCity CounciloftheCityof Moses Lake,at itssole discretion,shall have theright toforthwith determine that thisfranchise is forfeited.Said determination shallbe made,however,onlyupon proof established tothesatisfaction oftheCityCouncil,showing a breach ofthisfranchise,and showingthatthe rights of theCity of Moses Lake or its inhabitants have been materiallyeffected thereby. Provided,however,thatsuch failure or default or violation shallnot constitute grounds for forfeiting of thisfranchise if due to acts of God,fire,flood,storm,or other element or casualty,theft,war, disaster,strike,lockout,boycott,prevailing war or war preparationinduced conditions,or bona fide legal proceedings beyond thecontrol of thegrantee,its successors or assigns.OSection17.Remedies:The City reserves and has the rightto pursue any remedytocompel orenforcethe grantee,its successors orassigns,tocomplywiththe termshereof,and furnish theserviceherein called for, and thepursuance ofany rightor remedy by theCity shall not prevent the Cityfrom thereafterdeclaring a forfeiture for any reason herein stated,nor shall the delay ofthe Cityin declaring a forfeiture stop itfrom thereafterdoing so. Section 18.Liabilityand Indemnification:The grantee,by its use of this right and privilege,covenants and agrees withthe Citytoat alltimes protect and save harmless the Cityfrom allclaims,accidents,suits,liability, loss,expense of damage ofeverykind and description whichmaybe sufferedbyany personor persons,firm, corporationor toany building,orany damage arisingoutoftheownership,excavation,installation,construc- tion,repair,or operation of saidwater system or any act done by the grantee under thisrightand privilege. The Granteewillmaintaininfullforceand effect,with an insurance carrier or carriers authorized totransactbusinessintheStateofWashington,thefollowing insurance: A.Grantee agrees to provide certificatesofinsurance in the amount of $1,000,000. B.Itis agreed inthecertification of insurance thata thirty(30)day priorwritten notice willbe giventotheCityofMosesLakeintheeventofcancellationoramaterialchangeincoverage. Section 19.Cost of Publication:Cost of publications and advertisements for publichearings shall bereimbursedtotheCitybyBasinWaterSources,Inc. Section 20.Severability:In the event that any sentence,clause,paragraph,orsectionofthisordinancebe held voidby any court,it shallnotaffectthe balance thereof. Section 21.Ordinances Repealed:AIIordinances or parts thereofin conflictwith the provisionsof thisordinanceareherebyrepealed. Section 22.The CityCouncil declares that an emergency exists and this ordinance shall take effect immediately as providedby law upon one reading if2/3 of the entire City Council present vote in favor of passage.
