2137_00001ORDINANCE NO.2137 ANORDINANCE GRANTINGTOBANKOF AMERICATHE RIGHTAND FRANCHISE TOUSEANDOCCUPYDESIGNATEDSTREETS,ALLEYS,AND OTHER PUBLICPLACESANDWAYSOFTHECITYOFMOSESLAKE,WASHINGTON,TO CONSTRUCT,MAIN-TAIN,REPAIR,RENEWAND OPERATE AN UNDERGROUND CABLE IN CONDUITWITHINANDTHROUGHCERTAINPORTIONSOFTHECITYOFMOSESLAKE,WASHINGTON THE CITY COUNCIL OF THE CITYOF MOSES LAKE,WASHINGTON DO ORDAIN AS FOLLOWS: Section 1.That Bank ofAmerica is hereby grantedthe right,privilege and franchise toconstruct,operate,andOmaintainin,through,and along theright-of-way ofthealley between Alder Street and DivisionStreetas shownanddescribedinExhibitA. Section2.The rights,privileges and franchisehereby grantedtoand conferreduponthegrantee shall,unlessthisfranchisebesoonerterminated,extend for thefulltermof twenty-five(25)years from thedate of theacceptancehereofbythegranteeandthegranteeshall,withinthirty(30)days afterthedate ofthepassingofthisordinance,file with the Finance Director,its written acceptance of all termsand conditionsof thisordinance,and ifsuch acceptance is not filed as herein provided,thisordinanceshall be nulland void in allrespectsasifneverpassed. Section 3.All rights and privileges granted,and duties imposed bythis ordinance upon the grantee shallextendtoandbebindinguponitssuccessors,legal representatives,or assigns,but thisprivilege and therightsgrantedunderthisordinancecannotbetransferredbythegrantee,either byassignments,sale,merger,consolidation,operationof lawor otherwisewithout first obtaining thewritten consent oftheCity thereto,tobeexpressedbyanordinance. Section 4.This ordinanceand writtenacceptance thereofbythegrantee shallconstitutethecontractbetweentheCityofMosesLakeandthegranteeandthesameshallbebindinguponandinuretothebenefitofthegrantee,its successors and assigns,under the conditionsherein imposed, Section5.AIIofthegrantees underground cable and conduit shallbe maintainedin good order and conditionandinaccordancewithstandardengineeringpracticeandwithalllawfulgovernmentalregulations.The Cityshallhavetheauthorityatalltimesinfurtheranceofsafety,convenience,and welfare of thepublic tocontrolbyappropriateregulationsthelocation,elevation,and manner of constructionand maintenance of thegrantee's undergroundcable and conduiton theCitystreets and public places subject totheprovisions ofanystatelawsapplicabletheretoandsuchregulationsshallbeinconformancewiththestandardengineenngpractice,and the reasonableness from thestand point ofthegrantee's operations and facilities.The granteeagreestopromptlyconformwithallsuchregulations. Section 6.Allundergroundcables ofthegrantee shall be laid in such a manneras not to interfere with anyOpresentpublicorprivateirrigationordrainditches,drains,sewers,water mains,conduits,sidewalks,paving,or other publicimprovements,and all repairs thereto or replacements requiredshall be accomplished asprovidedinSection7.The CityofMoses Lake reserves theright to construct,change,or repair any publicimprovements,and tochange thegrades ofanystreets,alleys,orsidewalks;written notice ofsuch intentiontochangeanystreets,alleys,orsidewalkwhereanypart or parts ofthedistribution system ofthegrantee maybeinvolved,shall be first giventhegrantee,and ifany changes or repairs are required,thegrantee shall,atitsownexpense,Iower,change,or alterthe undergroundcables or appurtenances involved accordingly,andinaccordancewiththestandardengineeringpracticeandanyregulationspertainingthereto;andthegranteeshallnotinterferewithotherpublicutilitiesorcityoperatedutilitiestherein.If practicable,no undergroundcableshallbelaidcloserthanfourfeet(4')toany utility. Section 7.No extensions ofundergroundcables shall be made and no construction or reconstruction shallbecommencedinconnectionwiththelayingorreplacingofundergroundcablesunlessplanshavefirstbeensubmittedandapprovedbytheofficialsoftheCityofMosesLakeandaconstructionpermithasbeenissuedbytheCity.. Section 8.Allearth,materials,sidewalks,paving,crossings,or improvementsof any kind,disturbed,injured,ore removed by thegrantee shallbe fullyrepaired,orreplaced promptlyby thegrantee,and thegranteeshallprotectandsavethecityharmlessforanylossordamagesthereon.The grantee shall further be requiredtoconformtoanyordinanceoftheCityofMosesLakewithreferencetocuttinganystreetsorsidewalksandthereplacementthereof. Section 9.The grantee shall at all times keep maps and records showing the locations and sizes of allundergroundcableslaidbyitorowneditinstreetsandotherpublicplaces,and such maps and recordsshallbefurnishedtotheofficialsoftheofMosesLakewithoutcost Section 10.In case offailure on thepart ofthegrantee tocomply withany oftheprovisions ofthisordinance,or ifthe grantee,their successors or assigns,do or cause to be done,any act or thingprohibited by or inviolationofthetermsofthisordinance,the grantee shall forfeit all rights and privileges granted by theordinance,and allrights thereunder shall cease;provided that such forfeiture shall not occur not takeeffectuntiltheCityofMosesLakeshallcarryoutthefollowingproceedings: A.Before thecitym proceed toforfeit thisfranchise,it shallserve,by certifiedmail,a written noticeuponthegrantee,ayheirsuccessors or assigns,setting forth clearly and indetail thefailure ofviolationcomplainedofandthegranteeshallhaveninety(90)days thereafter in which tocomplywith theconditionsofthisfranchise. B.Ifsuch failure orviolationcontinuesbeyond said ninety (90)days,thenthe CityCouncil of theCityofMosesLake,at its sole discretion,shall have the right toforthwith determine that thisfranchise isforfeited.Said determination shallbe rnade,however,only upon proof established tothesatisfactionoftheCityCouncil,and such as would be consideredcompetent evidence in any court ofrecords,showing a breach of thisfranchise,and showing thatth rights of the City of Moses Lake or itsinhabitantshavebeenmateriallyandsubstantiallyaffectedthereby. Ordinance 2137Page2 C.Provided,however,thatsuch failure or default or violation,shall not constitute groundsfor forfeiting of thisfranchise ifdue materially,substantially,and reasonably to acts of God,fire flood,storm,orotherelementorcasualty,theft,war,disaster,strike,lockout,boycott,prevailing war or warpreparationinducedconditionsorbonafidelegalproceedingsbeyondthecontrolfothegrantee. Section 11.Intheeventthatanysentence,clause,paragraph,or section ofthisordinancebe held void by any court,it shall notaffect thebalance thereof;and thisordinanceshall become effective upon passage and approval bythe CityofMoses Lake and itsacceptance inwritingby Bank ofAmerica which acceptance must be filed withinthirty(30)days afterthepassage and approvalby theCityCouncil of theCity of Moses Lake, Washington. Section12.The grantee,bytheiruse of this right and privilege,covenants and agrees with the city to at all timesprotect and save harmless thecity from allclaims,accidents,suits,liability,loss,expense,or damage ofany kindand description whichmayaccrue toor be sufferedby anyperson or persons,firm,corporation, or anybuilding,or anydamage arising outoftheownership,excavation,installation,construction,repair,oroperationofsaidundergroundcableofanyactdonebythegranteeunderthisrightandprivilege. Section 13.The City Council declares thatan emergency exists and thisordinance is deemed a public emergency ordinance necessary for the protection of publichealth,publicsafety,public property,or public peace and shall takeeffectimmediately as provided by law upon one readingif2/3 of the entire CityCouncil present vote in favor of passage. No trenching or asphalt work on city property should be required as we anticipate using a non-intrusive method of horizontal boringto minimize any inconvenience to the City of Moses Lake and its citizens.And if it should become necessary to trench we will use utmost care in restoring city property to its original condition. It is our understanding that there are typically two readings of the ordinance required for approvaL We are requesting this project be approved with one reading (on November 11,2003)due to the urgent nature of this project.There are company wide implications that could be avoided with a timely approval.
