2150_00002ORDINANCE NO.2150 AN ORDINANCE GRANTING TO PUBLIC UTILITYDISTRICTNO.2 OF GRANT COUNTY AFRANCHISETOLOCATE,CONSTRUCT,OPERATE AND MAINTAINFACILITIESWITHINALLCITYRIGHTS-OF-WAY AND OTHER PUBLICPROPERTY IN THE CITY OF MOSES LAKE,WASHINGTON SECTION 1.FINDINGS:Public UtilityDistrict No.2 of GrantCounty,Washington,a municipal corporationorganizedunderthelawsofthestateofWashington(hereinafterreferred to as "District"or "Grantee")hasrequestedfromtheCityofMosesLake,Washington,(hereinafterreferredtoas"Grantor"or"City"),afranchisetolocate,construct,operate,and maintain poles,wires,undergroundcables,andappurtenances (hereinafter"facilities")over,under,across,along and parallel to all city nghts of way and public property in theCity ofMosesLake,Washington;and SECTION 2.GRANT OF FRANCHISE 2.1 Gant: A.Grantor hereby grants to Grantee a nonexclusiveauthorizationtoconstruct,operate,maintain,reconstruct,replace,upgrade and repair electrical and telecommunicationsfacilities for thepurposeofcarryingouttheGrantee's functions authorizedunder Title 54 RCW.Said facilities may be located under,over along,adjacent,or parallel to all present and future streets,alleys,rights of way and other public property belonging to the Grantor (hereinafterreferred to as the"Franchise Area"). B.The term"facilities"shall include,but not be limitedto;all such wires,cables,hubs (neighborhoodfiberdistributionpoints),poles,conductors,ducts,conduits,vaults,amplifiers,pedestals,attachments and other property and equipment as are reasonably necessary to theoperationofanelectricalsystemand/or telecommunicationsystem for the provisionof electricalpower andwholesaletelecommunicationservicewithintheFranchiseArea,as determinedby theGranteeinitssolediscretion. C.This Franchise is intended toconveylimitedrights and interests onlyas tothoseStreets inwhichtheGrantormaylawfullyconveysuchrightsandinterests.It is not a warranty of titleor interestinanyright-of-way;itdoes not provide theGrantee any interest inany particular location withintheright-of-way;and itdoes notconfer rights other thanas expressly provided in thegrant hereof.This Franchise does not deprive the Grantor ofany powers,rights or privileges itnow has,or maylateracquireinthefuture,touse,perform work on or to regulate the use of and to control theGrantor's streets,alleys,rights ofway and otherpublic property belonging tothe Grantor coveredbythisFranchise,including without limitationthe right to perform work on its roadways,right-of- way orappurtenantdrainage facilities,including constructing,altering,paving,widening,grading, or excavating thereof. D.Grantor mayat anytimegrant authorization touse thepublic rights-of-way for anypurpose not0incompatiblewithGrantee's authority,rights,privileges and interests under thisFranchise.Thenon-exclusive provisions of thisfranchise shall not authorize the Grantorto locate other facilities on Grantee-owned poles or wires withoutthe Grantee's consent or affect theserviceorservicesprovidedunderthisfranchise,or permit facilities of thirdparties to create a hazard to Granteeownedfacilities. E.To theextentpermitted under applicable federal andstate law,this Franchise shallauthorize theGranteetherightorprivilegetoinstallitsfacilitiesinanymanneronspecificutilitypolesorequipmentownedbyGranteeoranyotherPersonwiththeirpermission. F.Grantee promises,as a conditionof exercisingthe privileges granted by this Franchise,thatGranteewillcomplywiththetermsandconditionsofthisFranchise. 2.2 Master Permit:This Franchise shall constitute the Master Permit for all facilities.The GranteeshallcontinuetonotifytheGrantorofplanstoworkwithintheright-of-wayand provide written plans forreviewandapproval,but no permit shall be required provided thatsuch facilities are located pursuanttothetermsofthisFranchise. 2.3 Duration:The termof thisFranchise and all rights,privileges,obligations and restrictions pertainingtheretoshallbefromtheeffectivedateofthisFranchisethroughJanuary31,2029. 2.4 Effect of Acceptance:Upon acceptance by the Grantee,this Franchise shall supersede all priorfranchisesandshallaffirm,authorize and ratifyallprioractivityauthorizedby permits or other action notpreviouslycoveredbythisFranchise. 2.5 Effective Date The effective date of thisFranchise shall be the date upon which it is accepted by theGrantee,provided that such acceptance shall occur on or before January 31,2004.Ifnot accepted bythatdatethisFranchiseshallbenullandvoid. 2.6 Grant of Other Franchises :In the event the Grantor enters into a Franchise,permit,license,9 authorization,or other agreement ofany kind with anyotherPerson orentityotherthan theGrantee to ,,enter into the Grantor's streets for the purpose of constructing or operating electrical facilities orwholesaletelecommunicationsfacilities,the material provisions thereofshallbe reasonably comparabletothosecontainedherein,in order that one operator not be granted an unfair competitive advantageoveranother,and to provide all parties equal protection under the law. 2.7 Police Powers:Grantee's rights hereunder aresubjecttothe rights and powers ofGrantor toadopt andenforceordinancesnecessarytothesafety,health,and welfareofthe public.In theevent of conflictsbetweenprovisionsofthisFranchiseandotherordinancesoftheGrantor,theterms of thisFranchiseshallprevailexceptastohealthandsafetyissues.This Franchise is purposefully silenton theissueofwhetherornotconstructionoffacilitieswithintheright-of-way must be underground.AIIundergroundingissueswillbedealtwithoutsideofthisFranchise. 2.8 Relations to Other Provisions of Law:This Franchise does not confer rights or immunities upon theGranteeotherthanasexpresslyprovidedherein.Grantee does not waive its right tochallenge thelawfulnessofaparticularenactment,including on the grounds that a particular action is anunconstitutionalimpairmentofcontractualrights.The Franchise issued is in lieu of any other requiredpermit,or authorization. Ordinance No.2150Page2 2.9 Costs of Publication:Grantee shall pay the reasonable cost of newspaper notices and publication pertaining to thisFranchise and anyamendmentsthereto,as such notice orpublication is reasonably required by Grantor or applicablelaw. SECTION 3.AUTHORITY:Grantor and Grantee both represent thattheyhave the authority toenter intoand execute this document. SECTION 4.GENERAL STREET USE AND CONSTRUCTION: 4.1 Tree Trimminq and Removal:Grantee's right tomaintain its facilities shall include the rightto trimand remove all treesor othervegetationthatoverhang a public right-of-way oftheGrantor so as to prevent the branches of such trees from comingin contact with its Electrical system or Telecommunications system,or thatinterfere with or may interferewith Grantee's facilities located pursuant to the termsof thisfranchise. 4.2 Construction: A.Subject toapplicable state andfederal laws and regulations and ordinances of Grantorand theprovisionsofthisFranchise,Grantee may perform allconstructionnecessary for theoperation ofits electricalsystem or telecommunicationssystem.AIIconstruction and maintenance of anyandallfacilitieswithinStreetsincidenttoGrantee's electrical system or telecommunicationsystemshall,regardless of who performs the construction,be and remain Grantee's responsibility. B.Prior to May of each year,Grantorand Grantee and other parties shall meet to discuss streetconstructionplannedforthefollowingconstructionseasonorsuchlongerperiodasnecessary to fullyplan for the development of City streets and other rightsofway.Grantor and Grantee shall disclose to each other,their plans and schedules for development,including other construction currentlyin progress,planned or proposed,in order to investigate thoroughlyall opportunities for sharing costs and to minimize the interruptions in the use of City streets.Whenever it is possible and reasonably practicable,Grantee and Grantor shall cooperate in planning effortsso as to reduce the numberof street cuts,minimizeinterference with existing utilities and/or reduce theoverall cost toeach party. 4.3 One Call Locator Service:The Grantorand theGrantee shalluse the one call locator service priortoperforminganyexcavationintheGrantor's Streets. 4.4 Relocation:Grantorshall have the righttoreasonablyrequire,Grantee to change the location of anypartofGrantee's electrical system or telecommunicationsystem within the Streets when a street improvement project requiressuch change,and theexpense thereofshallbe paidby Grantee.Should Grantee failto remove or relocate any such facilitiesby the date reasonably established by Grantor, Grantor may effect such removalor relocation,and the expense thereofshall be paid by Grantee, including all reasonable costs and expenses incurred by Grantordue to Grantee's delay.If Grantor requires Grantee torelocate itsfacilities located withinthe rightofway,Grantorshall make a reasonableefforttoprovideGranteewithanalternatelocationwithintherightofway. 4.5 Restoration of Streets: A.Whenever Grantee disturbs thesurface of any Street for any purpose,Grantee shallpromptly restore the Street to at least its prior condition.If public or private property is disturbed ordamagedbyGrantee,the Grantee shall reasonably restore the property to its former condition, normal wear and tearexcepted.Inthe case offire ordisaster,theGrantormayremove,replace, modifyordisconnect Grantee's facilities and equipmentlocated in the public right-of-way or on anyother property of the Grantor.Following noticebytheGrantortoGrantee ofsuch emergency modification,Grantee may restore its facilities or equipment to their pre-existing conditionat Grantor'sexpense. B.If any removal,replacement,modification or disconnectionis required to accommodate the construction,operation or repair of the facilitiesor equipment of another Franchise holder, Grantee shall,after at least sixty(60)days'advance written notice,take action to effect the necessary changes requested bythe other Franchise holder at the otherFranchise holder's sole and pre-paid cost and expense. C.At the request of any Person holding a valid permit,issued by an agency having appropriate jurisdiction,and upon reasonable advance notice,Grantee shall temporarilyraise,lower or remove its wires as necessary to permit the movingof a building,vehicle,equipment or other item.The permit holder must pay theexpense of such temporarychanges,and Grantee may require fullpayment in advance. 4.6 Maintenance and Workmanshio: A.Grantee's electrical system or telecommunicationsystem shall be constructedand maintained in such manner as not to interfere with sewers,water pipes,or any otherproperty of Grantor,or withany other pipes,wires,conduits,pedestals,structures,equipment orotherfacilities thatmay have been laid in the Streets by,or under,Grantor's authority. B.Grantee,at itsown expense,shall install,operate,repair,changeand improve its facilities tokeep them in good repair,and safe and reasonably presentable condition. 4.7 Reservation ofGrantor Street Rights:Nothinginthis Franchise shallprevent Grantor orutilitiesowned, maintainedoroperated bypublic entitiesother than Grantor,fromconstructing sewers;grading,paving, repairingor altering any street;repairing or removing water mains,or constructíng or establishingany other publicwork or Improvement.AIIsuch work shall be done,insofar as practicable,so as not to obstruct,injure or preventtheuse and operation of Grantee's electricalsystem ortelecommunication system.However,ifanyof Grantee's electrical systemortelecommunicationsystem interferes withthe construction or repairofany street or public improvement,including construction,repair or removal of a sewer orwater main,Grantee's electricalsystem or telecommunicationsystem shall be relocatedin accordance with4.4. Ordinance No.2150 Page 3 4.8 Use ofConduits by Grantor:The Granteeand theCityshall grant toeach other,free ofexpense,jointuseofanyandallpoles,ducts,conduits or equipment in thestreets or other public places owned byeitherpartyforanyproperpurpose,insofar as thesame may be done without interfering with the useandenjoymentofeitherparty's own wires and other facilities and further provided thatallsuch jointuseshallbeinfullcompliancewithallrules,regulations,requirements and conditions ofallapplicablesafetycodesaffectingelectricalinstallationswhichmaybepresentlyineffectorfutureamendmentsthereto,as well as being subject totheCity's obligations to any other franchise holder with which it may have a similar jointuse agreement O 4.9 Street Vacation:If,atany time,the Grantor shall sell,transferor vacate any road,right-of-way or otherpublicpropertywhichissubjecttorightsgrantedbythisfranchise,such sale,transferor vacation shallbesubjecttoaperpetualeasementinfavorofGrantee,its successors and assigns,for its facilities inplaceatthetimeofvacationandforthepurposeofcontinuedoperationandmaintenanceofsaidfacilities.The Grantorshall give theGrantee notice ofany vacation proceedings as ifitwereanabuttinglandowner.Such vacation shall,by its terms,expressly prohibit any use ofthe vacated propertiesthatwillinterferewithGrantee's full enjoyment of rights under said easement.The Grantor agrees topromptlyexecuteanysuchdocumentsasmayberequiredtoimplementthissection. 4.10 Hazardous Substances: A.Grantee shall comply with all applicable local,state and federal laws,statutes,regulations andordersconcerninghazardoussubstancesrelatingtoGrantee's electrical system ortelecommunicationssystemintheFranchiseArea. B.Grantee shallmaintainand inspect its electrical system or telecommunicationssystem locatedintheStmets.Upon reasonable written notice to Grantee,Grantor and Grantee may jointlyinspectGrantee's facilities intheStreets todetermine ifany release ofhazardous substances hasoccurred,or may occur,from or related to Grantee's electrical system or telecommunicationssystem.Inremoving or modifyingGrantee's facilities as provided in thisFranchise,Grantee shallalsoremoveallresiduesofhazardoussubstancesrelatedthereto. 4.11 No Interference:Grantee shall arrange its lines;cables and other appurtenances,on public property,in such a manner as tonot cause unreasonable interference withtheuse ofsaid public property by anyperson. SECTION 5.INSURANCE REQUIREMENTS: 5.1 Insurance Requirements: A.General Requirement.Grantee must have adequate insurance during the entire termof thisFranchisetoprotectagainstclaimsforinjuriestoPersonsordamagestopropertywhichinanyOwayrelateto,arise from,or are connected with thisFranchise or involve Grantee,its agents,representatives,contractors,subcontractors and theiremployees. B.InitialInsurance Limits.Grantee must keep insurance ineffect in accordance with the minimuminsurancelimitshereinsetforthbytheGrantorfromtimetotime.The Grantee shall obtainpoliciesforthefollowinginitialminimuminsurancelimits: 1.Commercial General Liability:Two-million dollars ($2,000,000)combined single limitperoccurrenceforbodilyinjury,personal injury,and property damage,and forthose policies withaggregatelimits,a two-and-one-halfmilliondollars ($2,500,000)aggregate limit, 2.Automobile Liability:Two-milliondollars ($2,000,000)combined singlelimitper accidentforbodilyinjuryandpropertydamage. C.Self Insurance.The insurance limits may be satisfied throughself insurance up to the first$500,000with excess coverage thatsatisfiestherequirements of thissection. D.AIIinsurance limits set forth in thissection shall be subject to review and adjustment by theGrantoreveryten(10)years.Grantorshall give Grantee sixty (60)days to provide proof thatincreasedlimitsareinplaceifsodirectedbytheGrantorafteritsreview. 5.2 Indemnification: A.Scope of Indemnity.Grantee shall,at its sole cost and expense,indemnify,hold harmless,anddefendtheGrantoranditofficers,boards,commissions,agents,and employees against anyandallclaims,including,but not limitedto,thirdparty claims,suits,causes ofaction,proceedings,andjudgmentsfordamagesorequitablereliefsolelytotheextenttheClaimsariseoutofGrantee'sorGrantee's agent's negligent acts or negligent omissions:provided,however,theGrantee willnotbeobligatedtoindemnifyGrantororitsofficers,commissions,agents,or employees in anyproceedingregardingthegrantofthisFranchise.This indemnity provision shall include damagesOandliabilities,if and to the extent such damages and liabilities are a result of Grantee's orGrantee's agent's negligent acts or negligent omissions.This indemnity provision shall not applytotheextentoftheGrantor's negligent acts of omissions or those of its officers,agents,contractors,or employees thereof. B.Dutyto Give Notice andTender Defense.The Grantor shallgive the Granteewritten noticewithinten(10)days of receiving any claim or of the commencement of any action,suit or otherproceedingcoveredbytheindemnityinthisSection.Failure of Grantor toprovide such noticeshallresultinwaiverofGrantee's indemnification obligations with respect to such action,suitorotherproceedingotherwisecoveredbytheindemnityinthisSection.Intheevent anysuchclaimarises,the Grantor orany other indemnified party,as defined by thisFranchise,shall tenderthedefensethereoftotheGranteeandtheGranteeshallhavetheobligationanddutytodefend,settle or compromise any claims arising thereunder,and theGrantorshall cooperate fullytherein.Grantee shallaccept or decline thetenderwithinten (10)days ofits receiptofthewritten noticedescribedabove.In the event that theGrantee declines defense oftheclaim inviolation ofthisSection5.2,the Grantor may defend such claimand seek recovery from Grantee its reasonableexpensesforattorneys'fees and other expenses,including expert witness fees,incurred byGrantorfordefenseandinseekingsuchrecovery. OrdinanceNo.2150Page4 C.The provisions of Section 5.2 shall apply to claims by Grantee's own employees and theemployeesofGrantee's agents,representatives,contractors,and subcontractors to which Grantee mightotherwisebe immune under Title 51 RCW.This waiver ofimmunity under Title51RCWhasbeenmutuallynegotiatedbythepartieshereto,and Grantee acknowledges thattheCitywouldnotenterintothisFranchisewithoutGrantee's waiver thereof. SECTION 6.NOTICE OF DEFAULT ANDCURE: 6.1 Default:Ifthe Grantee fails tocomply with any materialprovisions of thisordinance or causes to be done,any act or thingprohibited by or mviolation of thetermsof thisordinance,the Grantorshall notify Grantee inwriting,stating with reasonable specificity thenatureoftheallegedviolation.Grantee shall have thirty(30)days from the date of receipt of such noticeto: A.Respond toGrantor,contesting Grantor'sassertion thata violation has occurred,and requestto use thedisputeresolution provisions ofthis franchise;or B.Cure theviolation within 90 days ofthe date of the Grantee's response to the Grantor orwithin such longer period ifnecessary tocure the alleged violation;or C.NotifyGrantor thatGrantee cannot cure thealleged violation withinninety_(90)days,and notifytheGrantorinwritingofwhatstepstheGranteeshalltaketocuretheviolationincludingtheGrantee's projected completiondate for such cure,in suchcase,GrantorandGrantee shall meet todiscuss alternative methods to cure the violation. D.Intheevent a default or violation is not curedas provided herein,Grantor mayremedy thedefault orviolationas reasonably necessary inthe interests ofmanagingtheright ofway and the Grantee shall reimburse Grantor for thereasonable costs incurred within thirty(30)days after receiptof an itemized listof the expenses incurred. 6.2 Revocation of Franchise:Adefault or violation mayconstitute groundsfor forfeitingor revoking thisFranchise.Being mindfulthat Grantee is entitledto a franchise to use the Grantor's Franchise Area upon reasonable termsand conditions,violations of such terms and conditions may,after a hearing before the CityCouncil,be the basis for revoking thisFranchise orotherwisesecuringcompliance with the reasonable terms and conditionsofthis Franchise. 6.3 Revocation Hearing Process:Whenever a breach ofthisFranchise occurs as defined in section 6.1 (D),then the City Council may given written notice tothe Grantee of its intent toconduct a hearing toconsidersanctionsagainsttheGranteeforviolationsofthetermsofthisFranchisewhichviolationsareidentifiedinsuchnotice.Granteeshall have no less than(sixty)60 days to answer the noticeand admit, deny or conditionallyadmit or deny the claimedviolationsof this Franchise,if after receipt of theGrantee's answer,theCityCouncil remains convincedthatmaterial violations ofthisFranchise remain unresolved,itshall schedule a hearing before theCityCouncilto be held no sooner than sixty (60)days afterreceiptoftheresponse oftheGrantee.Atsuch hearing,the burden ofgoingforward shall be upontheCitystafftoestablishthematerialviolationsofthisFranchise.The Grantee may present evidence in response to the evidence of the City.At the conclusion of that hearing,the City Council shall determine ifa material violation ofthis Franchise remains tobe resolved.Ifa materialviolation of thisFranchiseremains,the City Council shall deliver written instructions to Grantee as to what action is necessary tocure suchmaterialviolationor toinsure such materialviolationdoes not occur again.Only iftheGrantee refuses or failsto effect a cure acceptable to theCityCouncil,may the City Council conclude that revocation ofthisFranchisemay be a remedy.Revocation is a remedy of last resort. SECTION 7.ABANDONMENTAND REMOVAL:In theevent that the facilities are no longer useful in the conveyanceof power orfor communications,Grantee shall,at the Grantor's option,remove the facilities at the Grantees sole expense.The Granteeshall have one (1)nine(9)month period within whichtosell,transfer orconvey its electrical systemor telecommunicationssystem toa qualified purchaser,ortoremoveits plant, structuresand equipmentfrom the Grantor's Streets and other public places as directed by theGrantor. SECTION 8.MISCELLANEOUSPROVISIONS: 8.1 Severability:Ifany section,subsection,paragraph,termor provision of this Franchise is determined tobe illegal,invalid or unconstitutional by any court of competentjurisdictionor by any state orfederal regulatory authority having jurisdictionthereof,such determination shall have no effect on the validity ofany other section,subsection,paragraph,termor provision ofthis Franchise,all ofwhich willremain infullforce and effectfor the term of the Franchise. 8.2 Transfer:Grantee shall give the Grantor sixty days notice of the Grantee's intention to transferanyfacilitiescoveredbythisfranchisetoathirdparty.Any successor,whetherby voluntarytransferorotherwiseshallbesubjecttothetermsofthisfranchiseagreementuntilanewfranchiseisreached between theGrantor and such thirdparty.AIIrights and privileges granted,and duties imposed by this franchise upon the Grantee shallextendto and be binding upon its successors and assigns. 8.3 Nonenforcement by Grantor:Grantee is not relieved of its obligationto comply with any of the provisions ofthisFranchise byreason ofanyfailure ofGrantortoenforceprompt compliance.Grantor's forbearance or failure toenforce any provision of thisFranchise shall not serve as a basis tostop anysubsequentenforcement.The failure of the Grantor on one ormore occasions to exercise a rightor to requirecompliance or performance under this Franchise orany applicable law shall not be deemed to constitutea waiver ofsuch right or a waiverof compliance or performance,unless such right has been specifically waived in writing.Anywaiver of a violation is not a waiver of any other violation;whether similar or different from that waived. 8.4 Relationship of Remedies The remedies provided for in this Franchise are cumulative and not exclusive;the exercise of one remedy shall not prevent the exercise of another,or any rights of the Grantorat law orequity. 8.5 Notices:Throughout the term of the Franchise,Grantee shall maintainand file with Grantor adesignatedlegalorlocaladdressfortheserviceofnoticesbymail.A copyofallnotices from Grantor to Grantee shall be sent by U.S.mail,certified,returnreceipt requested,postage prepaid,to such address and such notices shallbe effective upon three (3)days after thedate ofmailing.Atthe effective date of thisFranchise,such addresses shall be: OrdinanceNo.2150Page5 Public UtilityDistrict No.2 of Grant CountyPOBox878EphrataWA98823Attention:Manager AIInoticestobe sent by Grantee to Grantorunder thisFranchiseshall be sent,U.S.mail,certified,returnreceiptrequested,postage prepaid,andsuch notices shall be effective upon three(3)days afterthedateofmailing.Atthe effective date of thisFranchise,such address shallbe: City of Moses LakeOPODrawer1579MosesLakeWA98837Attention:City Manager 8.6 Authority toAmend :This Franchise may be amended at any timeonlyby written agreement of theparties. 8.7 No Third Partv Beneficiaries:This Franchiseshall not be construed to create rights in,or to grantremediesto,anythirdparty as a beneficiary ofthis Franchise orofanyduty,obligationor undertakingestablishedherein. 8.8 Applicable Law:This agreement shallbe governed by and construed in accordancewith the laws oftheStateofWashington.Venue forany action arising out of thisagreement,include theinterpretationofthisagreement,shall be in theSuperior Court of Grant County,Washington. 8.9 Cantions:The captions and headings of this Franchise are for convenience and reference purposesonlyandshallnotaffectinanywaythemeaningorinterpretationofanyprovisionsofthisFranchise, 8.10 Construction of Franchise:The provisions ofthisFranchise shall be liberallyconstrued topromote thepublicinterest. 8.11 Complete Aareement:This franchise constitutes thecomplete understanding between theparties.Allunderstandings,written or oral,previously made between the parties,are hereby merged into thisdocumentwhichisafullandcompleteexpressionofthepartiesintentions.This franchise is subjecttochangeonlybyanamendmentthatisdulyadoptedbytheCityCouncilandapprovedbytheGrantee.Any rule of interpreting ambiguitiesagainst theinterests ofthe drafting party shallnot be applicableinresolvingadisputeoverthemeaningofanyprovisionofthisfranchiseortheintentofthepartieswithrespecttosuchaprovision. 8.12 Force Majeure:In theevent thateither party is prevented or delayed in the performance of any of its O obligationsunderthisAgreement by a reason beyond itsreasonable control (a"Force Majeure Event"),then that party's performance shall be excused during theForce Majeure Event.Force Majeure Eventsshallinclude,without limitation,war;civildisturbance;flood,storm,earthquake or other Act ofGod;orotherconditionwhichnecessitatesthemobilizationofthepersonnelofapartyoritscontractorstorestoreutilityservicetocustomers;laws,regulations,rules or orders of any governmental agency;sabotage;strikes or similar labor disputes involvingpersonnel of a party,itscontractors or a thirdparty; orany failure or delay in theperformance bytheother party,or a thirdparty who is notan employee,agent or contractor of the party claiminga Force Majeure Event,in connection with the Work or thisAgreement.Upon removal or terminationof the Force Majeure Event,the party claiminga ForceMajeureEventshallpromptlyperformtheaffectedobligationsinanorderlyandexpeditedmannerunderthisAgreementorprocureasubstituteforsuchobligation.The parties shall use all commerciallyreasonableeffortstoeliminateorminimizeanydelaycausedbyaForceMajeureEvent. 8.13 Time is of the Essence:Time is ofthe essence of this Franchise and each and all of its provisions inwhichperformanceisafactor.
