2192_00001ORDINANCE NO.2192 ANORDÏNANCEGRANTINGTO HIGHLANDHOLDINGCOMPANY,LLCTHE RIGHTANDFRANCHISETOUSEANDOCCUPYDESIGNATEDSTREETS,ALLEYS,AND OTHERPUBLICPLACESANDWAYSOFTHECITYOFMOSESLAKE,WASHINGTON,TOCONSTRUCT,MAINTAIN,REPAIR,RENEW AND OPERATE AN UNDERGROUNDIRRIGATIONMAININCONDUITWITHINANDTHROUGHCERTAINPORTIONSOFTHECITYOFMOSESLAKE,WASHINGTON THE CITYCOUNCIL OF THE CITYOF MOSES LAKE,WASHINGTONDO ORDAINAS FOLLOWS: O Section 1.That Highland Holding Company,LLC is hereby granted the right,privilege and franchise toconstruct,operate,and maintaintheexisting eightinch (8")irrigation main in,through,and along the right-of-way of Moses Lake Avenue as shown and described in Exhibit A. Section 2.The rights,privileges andfranchise hereby grantedtoand conferred uponthegrantee shall,unlessthisfranchisebesoonerterminated,extend for thefullterm of twenty-five(25)years from the date of theacceptancehereofbythegranteeandthegranteeshall,withinthirty(30)days afterthedate of thepassingofthisordinance,file withthe Finance Director,its writtenacceptance of allterms and conditionsof thisordinance,and ifsuch acceptance is not filed as herein provided,this ordinance shall be nulland void inallrespectsasifneverpassed. Section 3.AIIrights and privileges granted,and duties imposed by this ordinance upon the grantee shallextendtoandbebindinguponitssuccessors,legal representatives,or assigns,but this privilege and therightsgrantedunderthisordinancecannotbetransferredbythegrantee,eitherbyassignments,sale,merger,consolidation,operation of law orotherwise withoutfirst obtaining the writtenconsent of the City thereto,tobeexpressedbyanordinance. Section 4.This ordinanceand written acceptance thereofbythegrantee shallconstitutethecontract betweentheCityofMosesLakeandthegranteeandthesameshallbebindinguponandinuretothebenefitofthegrantee,its sucbessors and assigns,under theconditionsherein imposed. Section 5.The grantee's irrigation mainshall be maintained ingood orderand conditionand inaccordancewithstandardengineeringpracticeandwithalllawfulgovernmentalregulations.The City shall have theauthorityatalltimesinfurtheranceofsafety,convenience,and welfare ofthepublic to controlby appropriateregulationsthelocation,elevation,and manner of construction and maintenance ofthegrantee's irrigationmainontheCitystreetsandpublicplacessubjecttotheprovisionsofanystatelawsapplicabletheretoandsuchregulationsshallbeinconformancewiththestandardengineeringpractice,and thereasonableness fromthestandpointofthegrantee's operations and facilities.The grantee agrees topromptly conform withallsuchregulations. O Section 6.The irrigation main of thegrantee shall be located in such a manner as not to interfere with anypresentpublicorprivateirrigationordrainditches,drains,sewers,water mains,conduits,sidewalks,paving,or other public improvements,and all repairs thereto or replacements required shall be accomplished asprovidedinSection7.The City of Moses Lake reserves theright to construct,change,or repairany publicimprovements,and tochange thegrades ofany streets,alleys,or sidewalks;written notice of such intentiontochangeanystreets,alleys,or sidewalkwhereany part orpartsofthedistribution systemofthegrantee maybeinvolved,shall be first given the grantee,and ifanychanges or repairs are required,thegrantee shall,atitsownexpense,Iower,change,or alter the irrigation main or appurtenances involved accordingly,and inaccordancewiththestandardengineeringpracticeandanyregulationspertainingthereto;and the granteeshallnotinterferewithotherpublicutilitiesorcityoperatedutilitiestherein.Ifpracticable,theirrigation mainshallbelocatednocloserthanfourfeet(4')to any utility. Section 7.No extensions of the irrigation mainshall be made and no construction or reconstruction shall becommencedinconnectionwiththeirrigationmainunlessplanshavefirstbeensubmittedandapprovedbytheofficialsoftheCityofMosesLakeandaconstructionpermithasbeenissuedbytheCity. Section 8.AIIearth,materials,sidewalks,paving,crossings,or improvements ofanykind,disturbed,injured, or removed by the grantee shallbe fullyrepaired,or replaced promptlybythegrantee,and thegrantee shallprotectandsavethecityharmlessforanylossordamagesthereon.The grantee shall further be requiredtoconformtoanyordinanceoftheCityofMosesLakewithreferencetocuttinganystreetsorsidewalksandthereplacementthereof. Section 9.The grantee shall at all timeskeep maps and records showing the locations and sizes of allirrigationmainslaidbyitorownedbyitinstreetsandotherpublicplaces,and such maps and records shallbefumishedtotheofficialsoftheCityofMosesLakewithoutcost. Section 10,Incase offailure on the part of thegrantee to comply with anyof theprovisions ofthisordinance,or if the grantee,theirsuccessors or assigns,do or cause to be done,any act or thingprohibited by or inviolationofthetermsofthisordinance,the grantee shall forfeit all rights and privileges granted by theordinance,and allrights thereundershall cease;provided that such forfeiture shall not occurnortake effectuntiltheCityofMosesLakeshallcarryoutthefollowingproceedings: A.Before thecitymay proceed to forfeitthisfranchise,itshall serve,by certifiedmail,a written noticeuponthegrantee,theirsuccessors orassigns,settingforth clearly andindetail thefailureor violationcomplainedofandthegranteeshallhaveninety(90)days thereafter in which to comply with theconditionsofthisfranchise. B.Ifsuch failure or violation continues beyond said ninety (90)days,then the CityCouncil of the CityofMosesLake,at its sole discretion,shallhave the rightto forthwith determine thatthisfranchise isforfeited.Said determination shall be made,however,only upon proof established tothe satisfactionoftheCityCouncil,and such as would be considered competentevidence in any court of records,showing a breach of this franchise,and showing that the rights of the City of Moses Lake or itsinhabitantshavebeenmateriallyandsubstantiallyaffectedthereby. ORDINANCE 2192 Page 2 C.Provided,however,that such failure or default orviolation,shall not constitutegrounds for forfeiting ofthisfranchise ifdue materially,substantially,and reasonablytoacts ofGod,fire,flood,storm,or other element or casualty,theft,war,disaster,strike,lockout,boycott,prevailing war or war preparationinduced conditionsor bona fide legal proceedings beyond the control of thegrantee. Section 11.Inthe event thatany sentence,clause,paragraph,or section of thisordinance be held void by anycourt,itshall not affect thebalance thereof;and thisordinance shallbecome effective uponpassage and approvalbythe City of Moses Lake and its acceptance in writingby Highland Holding Company,LLCwhich acceptance must be filedwithinthirty(30)days after the passage and approvalbytheCityCouncil of the City of Moses Lake,Washington. Section 12.The grantee,by theiruse of this right and privilege,covenants and agrees with the city toat all timesprotect and save harmless the city from all claims,accidents,suits,liability,loss,expense,or damage ofany kind and description whichmayaccrue toorbe sufferedby any person or persons,firm,corporation, or any building,or any damage arising out of the ownership,excavation,installation,construction,repair,or operationof said irrigation main orany act done by the grantee underthis right and privilege.
